This announcement replaces the announcement titled 'SIP Announcement', which was released on 03 January 2014 at 09.15 under RNS No 8529W. It is the same in all respects save for the following amendment,
"D J Bolton has a resultant shareholding of 976,388 following the transaction representing 3.10% of the Company's entire issued share capital, not 956,388 and 3.04% respectively."

K3, which provides and supports Enterprise Resource Planning software, hosting and managed services to the supply chain industry, announces that as a result of the purchase of ordinary shares of 25p each in the capital of the Company ("Ordinary Shares") by the K3 Business Technology Group plc Share Incentive Plan (an HM Revenue & Customs approved all employee share purchase plan) on 2 January 2014 at a price per Ordinary Share of £1.375, the below executive directors have the following interests:
