Rejection of offer from Jonas Computing (UK) LTD. and statement regarding a further Possible Offer

 

Further to the announcement made by ServicePower Technologies Plc on 10 November 2016 regarding the offer by Jonas Computing (UK) LTD. ("Jonas"), an indirect wholly owned subsidiary of Constellation Software Inc, to acquire the entire issued and to be issued share capital of the Company (the "Offer") and in response to the announcement made by Jonas today, the Board confirms that having carefully considered the Offer together with its advisers, that it has concluded that the Offer undervalues the Company and has formally rejected the Offer.

 

The Board also confirms that it has received an approach from, and is in discussions with Diversis Capital, LLC ("Diversis") in relation to a possible cash offer being made by Diversis or through a wholly owned entity of Diversis for the entire issued and to be issued share capital of ServicePower (the "Possible Offer"). The approach has been made at an indicative price of 6 pence per ordinary share of 1 pence each in the capital of the Company. The Board would like to emphasise that these discussions are at a preliminary stage and that there can be no assurances that such an offer will be made for ServicePower, nor as to the terms on which any offer will be made. Shareholders are advised to take no action.

 

This statement is being made by ServicePower without the prior agreement or approval of Diversis.

 

As a consequence of this announcement, an "Offer Period" has commenced in respect of the Company in accordance with the rules of the Code.

 

In accordance with Rule 2.6(a) of the Code, Diversis must, by not later than 5.00 p.m. on 20 December 2016, either announce a firm intention to make an offer for ServicePower in accordance with Rule 2.7 of the Code or announce that it does not intend to make an offer, in which case the announcement will be treated as a statement to which Rule 2.8 of the Code applies. This deadline will only be extended with the consent of the Takeover Panel in accordance with Rule 2.6(c) of the Code.

 

The relevant deadline will cease to apply to Diversis if another offeror announces, prior to the relevant deadline, a firm intention to make an offer for ServicePower. In such circumstances, Diversis will be required to clarify its intentions in accordance with Rule 2.6(d) of the Code.

 

This is an announcement falling under Rule 2.4 of the Code and does not constitute an announcement of a firm intention to make an offer under Rule 2.7 of the Code.

 

The attention of shareholders is drawn to the disclosure requirements of Rule 8 of the Code, which are summarised below.

Disclosure requirements of the Takeover Code (the "Code")
