Report 172/2009: Registration of Series G Shares and Increase of Share Capital of the Bank
The Management Board of Bank Polska Kasa Opieki Spółka Akcyjna ("Bank") hereby informs, that on the 7 th of December 2009, it received information that on the 4 th of December 2009, on the basis of the Statement of National Depository for Securities ("KDPW"), 1.462 Series G Ordinary Bearer Shares of Bank Pekao S.A., with nominal value of PLN 1.00 (one) each and marked under the code ISIN "PLPEKAO0016" were registered.
The share capital of the Bank was increased by the total amount of PLN 1.462 as a result of 1.462 Series G Ordinary Bearer Shares issue. The share capital of the Bank currently amounts to PLN 262.328.780 and divides into:

The total number of votes at the Bank's General Meeting is 262.328.780 (two hundred sixty two million three hundred twenty eight thousand seven hundred eighty).
Increase was conducted as a result of registration on buyer's account on the 4th of December 2009 of 1.462 Series G Ordinary Bearer Shares, issued within in the framework of the conditional share capital increase on the base of Resolution No. 7 of the Extraordinary General Meeting of Bank Polska Kasa Opieki Spółka Akcyjna conducted on the 25th of July, 2003 on conditional increase of the share capital, exclusion of the pre-emptive rights on the Series F and G shares of the Bank and amendment to the Statute of the Bank.
Bank's conditional share capital increase was registered by Warsaw District Court, XIX Economic Division of the National Court Registry on the 17th of September 2003, which was reported by Bank in current report 107/2003 dated 19th of September 2003.
Legal basis:
Section 34 subsection 1 clause 1 and Section 5 subsection 1 clause 9 of the Finance Minister's Ordinance of the 19th of February 2009 regarding current and periodic reports published by the issuers of securities and the rules of equal treatment of the information required by the laws of non-member states.
