Bank Pekao SA05 February 2008 UNOFFICIAL TRANSLATION (February 5, 2008) Report 24/2008: Increasing the share capital of UniCredit Bank Ltd. (former BankPekao (Ukraine) Ltd.) The Management Board of Bank Polska Kasa Opieki S.A. hereby informs that on theday of February 4, 2008 UniCredit Bank Ltd. (Bank's subsidiary) notified BankPolska Kasa Opieki S.A. of the registration on the day of February 4, 2008 withthe National Bank of Ukraine of amendments to the Articles of Association ofUniCredit Bank Ltd., covering the increase of share capital of UniCredit BankLtd. by the amount of UAH 109,834,200 (say: one hundred nine million eighthundred thirty four thousand two hundred UAH), i.e. the equivalent of PLN52,281,079.20 (say: fifty two million two hundred eighty one thousand seventynine and 20/100 PLN) in keeping with the NBP table of exchange rates 24/A/NBP/2008 of February 4, 2008. On the day of 3 September 2007, the Extraordinary General Meeting of UniCreditBank Ltd. adopted a conditional resolution (conditional to the consent of theNational Bank of Ukraine NBU) on increasing the share capital of UniCredit BankLtd. by the amount of UAH 109,834,200 UAH (say: one hundred nine million eighthundred thirty four thousand two hundred UAH), comprising the equivalent of PLN61,221,583.08 (say: sixty one million two hundred twenty one thousand fivehundred eighty three and 08/100 PLN) in keeping with the NBP table of exchangerates No. 170/A/NBP/2007 of 3 September 2007. The increase in the share capital of UniCredit Bank Ltd. was a consequence ofthe merger between UniCredit Bank Ltd. and JSCB HVB Bank Ukraine (100%-ownedsubsidiaries of Bank Pekao SA) and take-up by Bank Polska Kasa Opieki S.A. of109,834,200 newly created shares in UniCredit Bank Ltd. with the par value of 1UAH /share in the share capital of UniCredit Bank Ltd., totalling UAH109.834.200, in return for 1,098,342 stocks of JSCB HVB Bank Ukraine with thepar value of 100 UAH/stock, with the total par value of UAH 109,834,200. At the moment of registration by the National Bank of Ukraine NBU of relevantamendments to the Articles of Association of the Bank concerning capitalincrease, the share capital of UniCredit Bank Ltd. has been increased from UAH543,673,470.00 UAH (say: five hundred forty three million six hundred seventythree thousand four hundred seventy UAH) to the amount of UAH 653,507,670 UAH(six hundred fifty three million five hundred seven thousand six hundred seventyUAH). Bank Polska Kasa Opieki S.A. currently holds shares in UniCredit Bank Ltd. onthe total nominal worth of UAH 653,507,670 UAH (say: six hundred fifty threemillion five hundred seven thousand six hundred seventy UAH), comprising 100% ofshare capital of UniCredit Bank Ltd., carrying 100% of votes at the GeneralMeeting of Shareholders in UniCredit Bank Ltd.
