Reduction of Share Capital

Following the passing of resolutions 18 and 19 at its Annual General Meeting held on 4 September 2014, Betfair Group plc (the "Company") announces that the High Court of Justice (Chancery Division) has today sanctioned the Company's application: (i) to cancel all of the 6,506,009 shares of £0.001 each that were purportedly purchased and cancelled by the Company during its financial year ended 30 April 2012; and (ii) to cancel and extinguish the Company's share premium account.

The order of the High Court dated 8 October 2014 confirming the reduction of the Company's share capital and the cancellation of its share premium account (the "Reduction") and the statement of capital approved by the High Court in connection therewith were registered by the Registrar of Companies on 8 October 2014, whereupon the Reduction became effective.
