JARDINE MATHESON HOLDINGS LIMITED (THE "companY") Reduction of Capital Confirmation and Total Voting Rights

Further to the announcements made by the Company on 8 March 2021 and 7 April 2022, the Company is pleased to announce that the cancellation of the 59 per cent. shareholding in the Company held (directly and indirectly) by Jardine Strategic Limited by way of a reduction of capital in the Company (the "Capital Reduction"), which (along with certain other related matters) was approved by shareholders of the Company at the Annual General Meeting on 5 May 2022, has today become effective.As a result of the Capital Reduction becoming effective and in accordance with the requirements of the Financial Conduct Authority's Disclosure Guidance and Transparency Rule 5.6.1A, the issued share capital of the Company is 289,435,103 ordinary shares of US$0.25 each with voting rights of one vote per share. The Company does not hold any shares in treasury. Therefore, the total number of shares with voting rights in the Company is 289,435,103.The above figure may be used by shareholders and others with notification obligations as their denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Financial Conduct Authority's Disclosure Guidance and Transparency Rules.
