Premier Farnell plc gives notice that on 29 April 2016 it redeemed 95,122 US$1.35 cumulative convertible redeemable preference shares of £1 each (ISIN: GB0003339990) (the US Preference Shares) and 3,141,349 89.2 pence cumulative convertible redeemable preference shares of £1 each (ISIN: GB0006925266) (the UK Preference Shares and, together with the US Preference Shares, the Preference Shares), being all the outstanding Preference Shares of the Company, at the following rates as set out in the Company’s articles of association:

US$25 for each US Preference Share

£16.518 for each UK Preference Share

There are no Preference Shares outstanding.

An application has been made to the Financial Conduct Authority, in its capacity as the UK Listing Authority, to cancel the listing of the Preference Shares on the Official List of the UK Listing Authority. An application has also been made to the London Stock Exchange for the cancellation of the trading in the Preference Shares on the London Stock Exchange’s main market for listed securities. The cancellations will take effect from Tuesday, 3 May 2016.
