On May 27, 2010, Verizon Communications Inc. (Verizon) filed a Current Report on Form 8-K with the U.S. Securities and Exchange Commission (SEC) to announce that it has established a record date of June 7, 2010, subject to certain conditions, in connection with the proposed spinoff of New Communications Holdings Inc., a subsidiary of Verizon, to Verizon stockholders. This spinoff and the merger of New Communications Holdings Inc. with Frontier Communications Corporation is expected to occur on July 1, 2010, subject to the satisfaction of certain closing conditions.
