BOS GLOBAL Holdings Limited ('BOS GLOBAL' or 'the Company')
Receipt of Section 249D Notice
BOS GLOBAL, the cloud based software developer focused on harnessing technology to enable organisations to transform their operations through a more engaged workforce, advises that, on the evening of 8 November 2017, the Company received a notice under section 249D of the Corporations Act 2001 (Cth) ("Notice") from Innovation Corporation Limited ("Innovation") and Mr Graeme Edgar Hopgood, shareholders individually and collectively holding interests in BOS GLOBAL ordinary shares of greater than 5%. Innovation is associated with Mr Michael Travia, who is its sole director.
The Notice, if valid, would require the Company to hold a general meeting to consider the following resolutions:
1. The removal of Mr Adam Webb as a Director of the Company
2. The appointment of Mr Marcus Yeoman as a Director of the Company
3. The appointment of Mr Marcus Yeoman as Independent Chairman of the Company
4. The appointment of Mr Michael Travia as a Director of the Company
5. The appointment of Mr Michael Travia as interim Chief Executive Officer of the Company
6. That the Company Chair position be held by an Independent or Non-Executive Director
7. That the board appoint two (2) qualified female Directors with relevant technology, productivity, professional service, corporate industry experience within 12 months and that at least one (1) such female appointment take place within three (3) months
8. That the Company maintain not less than four (4) directors including that of a Financial Director for any period greater than three (3) months and that no less than two (2) such directors have previous AIM and/or public stock exchange experience
9. That the Company not raise more than 15% of its equity within any given 12 month period without Member approval and that any such offer includes its Members
10. That the Company have at a minimum 34% of its total staff be female and that such minimum be met within 18 months and that such minimum be representative of Directors and Company staff in general
11. That the Company publish within 30 days of each financial quarter end a Financial Market Update equivalent to the Australian Stock Exchange Quarterly 4C Appendix report until such time as its market capitalisation exceeds GBP50 million
The Company advises shareholders that no action is required and it is currently seeking legal advice as to the validity of the Notice and, if the Notice is valid, the Company is required to call the meeting within 21 days of the date of the Notice and hold the meeting no later than 2 months after the date of the Notice.
