Bank Pekao SA18 December 2007 UNOFFICIAL TRANSLATION (18 December, 2007) Report 122/2007: Rejection of complaint on the decision of June 11, 2007regarding dismissal of the motion for conservation of a claim to overrule theresolution no. 5 of the Bank's Ordinary General Meeting concerning approval ofthe Bank's financial statement for 2006. The Management Board of Bank Polska Kasa Opieki S.A. (the "Bank") informs thaton December 17, 2007 the Bank received the decision of the Appeal Court inWarsaw, VI Civil Division of October 25, 2007 on the rejection of complaint ofBank's shareholder against decision of Circuit Court dated June 11, 2007 ondismissal of the motion of Bank's shareholder for conservation of a claim tooverrule the resolution no. 5 of the Bank's Ordinary General Meeting regardingapproval of the Bank's financial statement for 2006, through suspension of theregistration proceedings conducted at the District Count for the City of Warsaw,XII Commercial Division of the National Court Registry. While justifying thereasons for dismissing the complaint, the Court has indicated that as resultingfrom the content of complaint, it had been submitted against non-existingdecision in this case, i.e., decision on dismissing the motion for conservationof claim to overrule the resolution no. 4 of the Bank's Extraordinary GeneralMeeting on the integration of Bank with Bank BPH S.A., performed in a manner ofBank BPH S.A. division through the transfer of a part of Bank BPH S.A.'sproperty in a form of an organized part of enterprise to the Bank. Simultaneously, we inform that until now the Bank has not received the statementof claim to overrule the resolution no. 5 of the Bank's Ordinary GeneralMeeting of April 26, 2007.
