Re-domiciliation and Director Changes

 

Cape Completes Re-domiciliation to the United Kingdom

Further to the passing by shareholders of Resolution 16 at this year's AGM (as confirmed on the 11 May 2016), Cape announces that it has completed its re-domiciliation of the Company's centre of management to the United Kingdom from Singapore with effect from 4 July 2016.

 

Director resignation - Samantha Tough

Following the decision to re-domicile, the Company announces that it has today agreed with Samantha Tough (who is based in Western Australia) that she will step down as non-executive director from the Board and will cease to be a director with effect from 31 August 2016.

 

Tim Eggar, Cape's Chairman, commented: "We would like to thank Samantha for her insight on the Asia Pacific market and valuable contribution to the Company. I wish her well in her future endeavours."

 

 

Board appointment - Mary Reilly

The Board is pleased to confirm the appointment of Mary Reilly as a non-executive director of the Company with effect from 1 September 2016. Mary will also sit on the Board's Audit Committee.

 

Mary Reilly brings with her a wealth of experience having worked for over 30 years' in an international environment as a chartered accountant with Deloitte LLP and non-executive director, chairing board and audit and risk committees. Her experience spans a variety of sectors including sport, luxury retail, manufacturing, business services and media.

 

Mary is a non-executive director of FTSE-listed company Ferrexpo plc, Travelzoo Inc. (which is listed on NASDAQ), Crown Agents Limited and the Department of Transport, and is an Associate Member of BUPA.

 

It is confirmed that there are no details to be disclosed pursuant to LR 9.6.13 R (1) to (6) and Mary Reilly does not currently hold any shares in the Company.  

 

 

Committee composition

The Board also announces that Michael Merton is stepping down as a member of the Remuneration Committee and that Brian Larcombe is joining the committee in his place.
