Re: Appointment of Executive Director

 

Further to the announcement on 17 June 2014 regarding Mark Keogh joining Charles Taylor as an executive director and Group Chief Financial Officer designate, the Company announces that on his appointment as a Company director the following matters are disclosed in relation to LR 9.6.13.

 

Mark Keogh was previously an executive director of Warner Estate Holdings PLC (Warner Estate), a publicly quoted company that was placed into Administration by the Board on 28 August 2013 and wound up in an orderly manner.

 

Mark was also a director of a number of subsidiary and associated companies of Warner Estate Holdings PLC which are also discloseable under LR 9.6.13. These are listed below.

 

There are no other matters to be disclosed in relation to LR 9.6.13.

Mark joined Warner Estate in March 2008 and was appointed to the board as Finance Director on 20 November 2008 in the midst of the banking crisis and in the immediate aftermath of Lehman Brothers collapse. Warner Estate was a highly geared property investor and as a result of market-wide fall in property values agreed a consensual disposal of its properties and investments with its lenders leading to the appointment of Administrators to Warner Estate and certain of its subsidiaries.
