JPMorgan Cazenove hereby makes the Purchase Offer, acting asprincipal, to purchase each of the 10,271,924 C Shares in respect of whichvalid acceptances of the Purchase Offer have been received and not withdrawnfor 457 pence plus an amount equal to the Accrued Dividend thereon (asrounded), free of all dealing expenses and commissions, in an off-markettransaction on the terms set out in the Circular.Settlement for the C Shares acquired under the Purchase Offer will be made on15 May 2006 when cheques and (where appropriate) balance C Share certificateswill be dispatched to Shareholders whose C Shares are held in certificated form(that is, not in CREST).
