Ocado Group plcPurchase of shares by Duncan Tatton-Brown

Ocado Group plc ("Ocado") announces that it had received notification on 27 June 2012 that:

1. Duncan Tatton-Brown, who was appointed Chief Financial Officer and Director of Ocado with effect from 1 September 2012, purchased on 26 June 2012, 50,000 ordinary shares of 2p each ("Ordinary Shares") in Ocado at 98.91p per Ordinary Share; and

2. Kate Tatton-Brown, the wife of Duncan Tatton-Brown, purchased on 26 June 2012, 50,000 Ordinary Shares in Ocado at 99.57p per Ordinary Share.

Following these purchases, Duncan Tatton-Brown and Kate Tatton-Brown each have an interest in 50,000 Ordinary Shares respectively, representing a total of 0.009% each of the issued Ordinary Share capital of Ocado.
