Purchase of Own Securities

On 9 February 2011 Colefax Group Plc bought for cancellation a total of 185,000 ordinary shares of 10p each ("Ordinary Shares") representing approximately 1.26 per cent of the voting rights in, and the issued ordinary share capital of, the Company at a price of 292.50p per share.

Following the cancellation of these shares there will be 14,450,000 Ordinary Shares in issue with each Ordinary Share carrying the right to one vote.

On 9 February 2011 the Trustees of the Colefax Group Plc Employees' Share Ownership Plan Trust bought a total of 32,578 ordinary shares of 10p each ("Ordinary Shares") representing approximately 0.23 per cent of the voting rights in, and the issued ordinary share capital of, the Company at a price of 292.50p per share.
