Purchase of investment shares and grant of matching awards
Pursuant to the Company's Co-Investment Plan (the 'Plan'), Jeremy Darroch and Andrew Griffith (together the 'Executive Directors'), each elected to invest the maximum entitlement of 50% of their bonus for the year ended 30 June 2017 in ordinary shares in the Company ('Investment Shares'), and have subsequently received an award of matching shares at nil cost ('Matching Shares') on 1 September 2017, as set out below.

Shares were purchased on behalf of the Executive Directors on 1 September 2017 at a price of 956 pence per share in London.
These awards will vest on 1 September 2020, dependent upon the achievement of a target level of growth in the Company's earnings per share in the three year period to 30 June 2020.
The beneficial interests of each of the Executive Directors in the Company have increased as a result of these transactions and are now:
Jeremy Darroch: 743,101
Andrew Griffith: 197,580
Awards under the Plan which were granted to the Executive Directors in 2014, for the three year performance period ended 30 June 2017, vested on the basis of a 1.3 times match on 1 September 2017 (the '2014 Matching Share Awards'). Jeremy Darroch and Andrew Griffith will retain these Matching Share Awards representing 141,824 and 66,672 shares respectively and will continue to hold the linked investment shares at this time. These Matching Share Awards will remain exercisable up to 1 September 2022.
