AIR CHINA LIMITED (a joint stock limited company incorporated in the People's Republic of China with limited liability) (Stock Code: 753) PURCHASE OF 10 BOEING 737 AIRCRAFT DISCLOSEABLE TRANSACTION TIME EXTENSION FOR DESPATCH OF CIRCULAR Reference is made to the Announcement of the Company published in the newspaperson 13 February 2006 in connection with the Boeing Aircraft Purchase Agreementand the Transaction contemplated therein, which constitutes a discloseabletransaction for the Company under the Listing Rules. The Company has applied tothe Hong Kong Stock Exchange for an extension of the date for despatch of theCircular to the shareholders of the Company. The despatch of the Circular willbe delayed from 6 March 2006 to 31 March 2006. Reference is made to the announcement of the Company published in the newspaperson 13 February 2006 (the "Announcement") in connection with the Boeing AircraftPurchase Agreement and the Transaction contemplated therein, which constitutes adiscloseable transaction for the Company under the Listing Rules. Unlessotherwise defined herein or the context otherwise requires, all capitalizedterms used herein shall have the same meanings as defined in the Announcement. Pursuant to the Listing Rules, a circular that must contain the informationrequired under the Listing Rules in connection with the Transaction (the"Circular") shall be despatched to the shareholders of the Company within 21days after publication of the Announcement. The Company has been in discussionswith the Hong Kong Stock Exchange regarding disclosure on the aggregate value ofaircraft basic price to be included in the Announcement and Circular. As thediscussions have not been concluded, the Company has therefore applied to theHong Kong Stock Exchange for a waiver from strict compliance with therequirements under Rule 14.38 of the Listing Rules in relation to the timing forthe despatch of the Circular. The despatch of the Circular will be delayed from6 March 2006 to 31 March 2006.
