Purchase and Cancellation of Deferred Shares

Universe, which develops and supplies leading payment and on-line loyalty systems, is pleased to announce that following the Share Capital Reorganisation announced on 24 July 2012, and its subsequent approval at the Extraordinary General Meeting held on 16 August 2012, the Company acquired and cancelled all of the Deferred Shares on 17 August 2012 in accordance with the Companies Act 2006 and the provisions of the Company's articles of association as amended at the EGM.

Unless otherwise stated, terms and expressions used in this announcement have the same meaning as those in the circular posted to shareholders on 24 July 2012.
