Recommended All-Share Acquisition
of Friends Life ("Friends Life") by Aviva plc ("Aviva")
Publication of Scheme Document and date of 2014 Preliminary Results
On 2 December 2014, Aviva and Friends Life announced that they had reached agreement on the terms of a recommended all-share acquisition of the entire issued and to be issued ordinary share capital of Friends Life by Aviva (the "Proposed Acquisition") to be implemented by way of a court-sanctioned scheme of arrangement under Part VIII of the Companies (Guernsey) Law, 2008 (as amended) (the "Scheme").
Friends Life is pleased to announce that the scheme document in relation to the Scheme (the "Scheme Document") has been published today.
The Scheme Document sets out, amongst other things, the full terms and conditions of the Scheme, an explanatory statement in relation to the Scheme, notices of the required meetings of Friends Life Shareholders, an indicative timetable of principal events and details of the action to be taken by Friends Life Shareholders. Friends Life Shareholders will also be able to inspect a prospectus issued by Aviva in relation to the New Aviva Shares to be allotted and issued to Friends Life Shareholders pursuant to the Proposed Acquisition (the "Aviva Prospectus").
As described in the Scheme Document, in order to become Effective, the Scheme will require, amongst other things, the approval of Friends Life Shareholders (other than Non-Voting Persons) at the Court Meeting, the passing of a special resolution at a general meeting of Friends Life Shareholders (the "Friends Life General Meeting") and then the sanction of the Guernsey Court.
The Court Meeting and the Friends Life General Meeting are scheduled to be held at Glaziers Hall, 9 Montague Close, London SE1 9DD on 26 March 2015, with the Court Meeting scheduled to commence at 2.00 p.m. and the Friends Life General Meeting scheduled to commence at 2.15 p.m. (or as soon thereafter as the Court Meeting is concluded or adjourned). Notices of the Court Meeting and the Friends Life General Meeting are set out in the Scheme Document.
Completion of the Proposed Acquisition is also conditional on, amongst other things, the approval of Aviva Shareholders at a general meeting (the "Aviva General Meeting").
Subject to the approval of Friends Life Shareholders at the Court Meeting and the Friends Life General Meeting, the approval of Aviva Shareholders at the Aviva General Meeting and the sanction of the Scheme by the Guernsey Court, respectively, and the satisfaction or waiver of the other Conditions set out in the Scheme Document, the Scheme is expected to become Effective on or around 10 April 2015.
As a result of the Proposed Acquisition, Friends Life confirms that it will publish its 2014 Preliminary Results on 5 March 2015, rather than 10 March 2015 as previously indicated. Assuming the Proposed Acquisition completes, Friends Life's second interim dividend will be paid according to the record date and payment date set out in the expected timetable of principal events below.

The Proposed Acquisition relates to the securities of a Guernsey-registered company with a listing on the London Stock Exchange and is proposed to be effected by means of a scheme of arrangement under the laws of Guernsey. Disclosure requirements of the Code
