PUBLICATION OF SCHEME DOCUMENT
On 2 July 2025, the boards of Spectris plc ("Spectris") and Project Aurora Bidco Limited ("Bidco"), a special purpose vehicle indirectly wholly-owned by funds advised by Kohlberg Kravis Roberts & Co. L.P. and its affiliates ("KKR"), announced that they had reached agreement on the terms of a recommended cash acquisition by Bidco of the entire issued and to be issued share capital of Spectris (the "Acquisition"), to be effected by means of a Court-sanctioned scheme of arrangement under Part 26 of the Companies Act 2006 (the "Scheme").
Capitalised terms used in this announcement shall, unless otherwise defined, have the same meanings as set out in the Scheme Document (as defined below). All references to times in this announcement are to London (United Kingdom) times unless stated otherwise.
Publication and posting of the Scheme Document
Spectris announces that a circular in relation to the Scheme (the "Scheme Document") has been published today setting out, among other things, a letter from the Chairman of Spectris, an explanatory statement pursuant to section 897 of the Companies Act 2006, the full terms and conditions of the Scheme, an expected timetable of principal events, notices of the Court Meeting and the General Meeting and details of the actions to be taken by Spectris Shareholders. The Scheme Document will be made available, subject to certain restrictions relating to persons in Restricted Jurisdictions, on Spectris' website at www.spectris.com and Bidco's website at https://www.documentdisplay.com/offer-for-spectris-plc/ by no later than 12 noon on the Business Day following the publication of the Scheme Document and will be available up to and including the end of the Offer Period.
Hard copies of the Scheme Document (or, depending on Spectris Shareholders' communication preferences, a letter or email giving details of the website where the Scheme Document may be accessed) and Forms of Proxy for the Court Meeting and the General Meeting are being posted to Spectris Shareholders. For information only, the Scheme Document will also be sent, or made available, to holders of options or awards under the Spectris Share Schemes and persons with information rights.
Action required
As further detailed in the Scheme Document, in order to become effective the Scheme requires, among other things, that the requisite majority of: (i) Scheme Shareholders vote in favour of the Scheme at the Court Meeting; and (ii) Spectris Shareholders vote in favour of the Special Resolution to be proposed at the General Meeting. The Scheme must also be sanctioned by the Court and is subject to the satisfaction or, where applicable, waiver of the relevant Conditions set out in the Scheme Document.
Notices convening the Court Meeting and the General Meeting, each of which will be held at The Elizabeth Lounge, The Carter Building, 11 Pilgrim Street, London, EC4V 6RN on 27 August 2025, are set out in the Scheme Document. The Court Meeting will start at 10:00 a.m. and the General Meeting at 10:15 a.m. (or as soon thereafter as the Court Meeting is concluded or adjourned). Forms of Proxy for use at such Meetings will be enclosed with the Scheme Document.
Any changes to the arrangements for the Court Meeting and/or the General Meeting will be communicated to Scheme Shareholders and Spectris Shareholders before the meetings, including through Spectris' website (www.spectris.com) and by announcement through a Regulatory Information Service.
Scheme Shareholders and Spectris Shareholders are strongly encouraged to submit proxy appointments and instructions for the meetings as soon as possible and in any event no later than the relevant time set out below using any of the methods set out in the Scheme Document:

or, if in either case the relevant meeting is adjourned, by no later than 48 hours (excluding any part of such 48 hour period falling on a non-working day) before the time fixed for the adjourned meeting.
It is important that as many votes as possible are cast at the Court Meeting so that the Court may be satisfied that there is a fair representation of opinion of Scheme Shareholders. Whether or not you intend to attend and/or vote at the meetings (in person or by proxy), you are therefore strongly encouraged to: (i) sign and return your Forms of Proxy by post; or (ii) transmit a proxy appointment and voting instruction online through the CREST electronic proxy appointment service, as soon as possible.
If the BLUE Form of Proxy for the Court Meeting is not lodged by the relevant time, it may be (i) scanned and emailed to Equiniti at the following email address: [email protected]; or (ii) presented in person to the chair of the Court Meeting or to the Equiniti representative who will be present at the Court Meeting, any time prior to the commencement of the meeting (or any adjournment thereof). However, in the case of the General Meeting, if the YELLOW Form of Proxy is not lodged by the relevant time, it will be invalid.
Timetable
The Scheme Document contains an expected timetable of principal events in relation to the Scheme, which is also set out in the Appendix to this announcement. The Scheme remains conditional on the approval of the requisite majority of eligible Scheme Shareholders at the Court Meeting, the requisite majority of eligible Spectris Shareholders at the General Meeting and the satisfaction or, where applicable, waiver of the other Conditions set out in the Scheme Document (including the sanction of the Court). It is expected that the Scheme will become Effective in or by Q1 2026. Spectris will make further announcements through a Regulatory Information Service, with such announcements also being made available on Spectris' website at www.spectris.com. An update to the expected timetable is expected to be announced following receipt of the relevant regulatory approvals upon which the Acquisition is conditional.
If the Scheme is sanctioned as outlined above, the last day of dealings in, and registration of transfers of, Spectris Shares on the Main Market of the London Stock Exchange is expected to be the Business Day immediately prior to the Effective Date and no transfers will be registered after 6:00 p.m. on that date. It is intended that, subject to the Scheme becoming Effective, applications will be made to the London Stock Exchange to cancel trading in Spectris Shares on the Main Market for listed securities and to the FCA to cancel the listing of the Spectris Shares from the Equity Shares (Commercial Companies) category of the Official List, in each case with effect from the Effective Date.
Current trading update
The Scheme Document contains a trading update for Spectris for the six months ended 30 June 2025.
Update on regulatory approval process
As further detailed in the Scheme Document, in order to become effective, the Scheme requires approval by foreign direct investment ("FDI") authorities in: Australia, Austria, Belgium, Denmark, France, Germany, Ireland, Italy, Netherlands, Spain, Sweden, and the United Kingdom and merger control authorities in the EU, China, the United States of America and other mandatory suspensory jurisdictions. The regulatory approval process is proceeding as planned, and as per the timetable set out in the 2.7 Announcement, with FDI filings having been submitted to, and being under review by, FDI authorities in the Netherlands, the United Kingdom, Italy, Germany and France.
Recommendation
The Spectris Directors, who have been so advised by Goldman Sachs, Rothschild & Co and BofA Securities as to the financial terms of the Acquisition, consider the terms of the Acquisition to be fair and reasonable. In providing their advice to the Spectris Directors, Goldman Sachs, Rothschild & Co and BofA Securities have taken into account the commercial assessments of the Spectris Directors. BofA Securities is providing independent financial advice to the Spectris Directors for the purposes of Rule 3 of the Code.
The Spectris Directors believe that the terms of the Acquisition (including the Scheme) are in the best interests of Spectris Shareholders as a whole. Accordingly, the Spectris Directors unanimously recommend that Scheme Shareholders vote in favour of the Scheme at the Court Meeting and that Spectris Shareholders vote in favour of the Special Resolution to be proposed at the General Meeting.
Spectris Shareholders should carefully read the Scheme Document in its entirety before making a decision in respect of the Scheme.

Additional information for US investors
U.S. Spectris Shareholders should note that the Acquisition relates to an offer for the shares of a UK company and is being made by means of a scheme of arrangement provided for under English company law. The Acquisition is therefore not subject to the tender offer rules or the proxy solicitation rules under the U.S. Exchange Act, as amended. Accordingly, the Acquisition is subject to the requirements and practices applicable to a scheme of arrangement involving a target company in the UK listed on the London Stock Exchange, which differ from the requirements of the U.S. tender offer and proxy solicitation rules. If, in the future, Bidco exercises its right to implement the Acquisition by way of a Takeover Offer and determines to extend the Takeover Offer into the U.S., the Acquisition will be made in compliance with applicable U.S. tender offer rules and regulations.
