Publication of Prospectus

Sherborne Investors (Guernsey) B Limited (the "Company") has today published its prospectus (the "Prospectus") in connection with the proposed admission of its A ordinary shares (the "Shares"), presently admitted to trading on AIM, to the Specialist Fund Market ("SFM") of the London Stock Exchange ("Admission"). The Prospectus has been approved by the UK Listing Authority.

As disclosed in the Prospectus:

- the Company's unaudited net asset value per share as at 31 March 2013 (the latest practicable date prior to the publication of this Prospectus) was 108.93 pence per Share; and

- Sherborne Investors Management (Guernsey) LLC, the Investment Manager, has informed the Company that, as at 30 April 2013 the holding by SIGB, LP, the Investment Partnership, in ordinary shares of the current Selected Target Company, 3i Group plc ("3i"), totals 47,295,366 shares, or approximately 4.87 per cent. of 3i's outstanding shares.

It is expected that Admission will become effective and that dealings in the Company's Shares on the SFM will commence at 8.00 a.m. on 7 May 2013. Trading in the Company's shares on AIM will be cancelled simultaneously with Admission.

The Prospectus will be available for inspection at the offices of Herbert Smith Freehills LLP, Exchange House, Primrose Street, London EC2A 2EG and at the office of the administrator, Ipes (Guernsey) Limited, during normal business hours on any weekday (Saturdays and public holidays excepted) until the date falling one month after the date of Admission and on the Company's website, www.sherborneinvestorsguernseyb.com. In addition, an electronic copy of the Prospectus has been submitted to the National Storage Mechanism and will be available for inspection at www.hemscott.com/nsm.do.
