Prospectus dated 18 December 2008 (the "Prospectus") relating to the issue of U.S.$1,250,000,000 7.875% Non-Cumulative Preference Shares and €500,000,000 7.875% Non-Cumulative Preference Shares of Lloyds TSB Group plc (the "Preference Shares"). The respective Preference Shares are to be issued in exchange for the U.S.$1,250,000,000 and €500,000,000 Fixed Rate Perpetual Capital Securities issued by Lloyds TSB Bank plc.
