PUBLICATION OF PROSPECTUS AND CIRCULAR

The Board of Triple Point VCT 2011 plc is pleased to announce that the Company has issued a prospectus (the "Prospectus") relating to an offer for venture ordinary shares ("Venture Shares") to raise £10 million (the "Offer")* and a circular (the "Circular") in connection with the Offer and the cancellation of the Company's share premium account relating to its B Shares, following approval from the Financial Conduct Authority.

*If the Offer is oversubscribed it may be increased to £20 million at the discretion of the directors of the Company.

The Circular includes a notice of a general meeting to be held on 19 October 2020. As a result of Government restrictions on movement and gatherings imposed as a result of the COVID-19 pandemic, shareholders will not be allowed to attend the General Meeting in person, which will proceed as set out in the notice with a quorum which will be made up of shareholders who are directors of the Company and/or partners and employees of the Company's investment manager. Voting on the resolutions to be proposed at the General Meeting will be conducted on a poll, rather than on a show of hands.

The Offer is now open and is expected to close on 30 July 2021 unless fully subscribed at an earlier date. The Company is a Venture Capital Trust incorporated in July 2010. The Investment Manager is Triple Point Investment Management LLP. The Company was established to fund small and medium sized enterprises (SMEs). The Company launched a new share class, known as The Venture Fund, in March 2019 which is mandated to invest in SMEs producing products or digital services that solve challenges faced by their larger corporate customers.
