International Finance p.l.c.'s Notes NOT FOR DISTRIBUTION TO ANY U.S. PERSON OR ITALIAN PERSON OR TO ANY PERSON ORADDRESS IN THE UNITED STATES OR ITALY On 20 June 2007, BNP Paribas announced the results of its successful offer (the"Offer") to purchase for cash up to a target amount of €750,000,000 of theoutstanding €1,700,000,000 4.875 per cent Notes due 2009 (the "Original Notes")issued by B.A.T. International Finance p.l.c. (the "Company") and guaranteed byBritish American Tobacco p.l.c., B.A.T Industries p.l.c., British AmericanTobacco Mexico, S.A. de C.V. (formerly known as BAT Mexico, S.A. de C.V.), B.A.TCapital Corporation and B.A.T Finance B.V. As of the expiry of the Offer, anaggregate nominal amount of €876,490,000 of Original Notes were validlytendered. Validly tendered Original Notes were accepted for purchase using apro-ration factor of 91.28283% and rounded down to the nearest €1,000. Aftersuch rounding, BNP Paribas purchased €800,000,000 in aggregate nominal amount ofOriginal Notes. On 29 June 2007, the Company issued €1,000,000,000 5.375 per cent. Notes due2017 (the "New Notes"). The New Notes are guaranteed by British American Tobaccop.l.c., B.A.T. Capital Corporation and British American Tobacco Holdings (TheNetherlands) B.V. Part consideration for the New Notes took the form of the Original Notespurchased by BNP Paribas in the Offer. The Original Notes purchased by BNPParibas, being an amount of €800,000,000 of the outstanding principal amount of€1,700,000,000, have been cancelled by the Company. BNP Paribas, Citigroup Global Markets Limited and J.P. Morgan Securities Ltd.acted as Joint Dealer Managers for the Offer. Citibank, N.A. acted as TenderAgent for the Offer. BNP Paribas, Citigroup Global Markets Limited and J.P.Morgan Securities Ltd. acted as Joint Lead Managers for the New Notes.
