Publication of Circular and Notice of General Meeting

Standard Life plc ("the Company") has today published and sent to all shareholders a circular ("the Circular") in relation to the proposed return of value to shareholders and accompanying share consolidation. The Circular has been prepared in accordance with the Listing Rules of the Financial Conduct Authority.

The return of value is subject to the approval of shareholders and, accordingly, the Circular contains a notice convening a general meeting of the Company which is to be held at 12 noon on 13 March 2015 at The Sheraton Grand Hotel, 1 Festival Square, Edinburgh, EH3 9SR.

A copy of the Circular, which contains the Notice of General Meeting, is available for viewing on the Company's website at www.standardlife.com. A copy of the Circular has also been submitted to the National Storage Mechanism, and will shortly be available for inspection on the National Storage Mechanism's website http://www.morningstar.co.uk/uk/nsm.

In connection with the return of value, it is also proposed that the Company adopts new articles of association. A summary of the proposed changes is set out on pages 22 to 23 of the Circular and the full text is shown in parts 5, 6, 7 and 8 of the Circular.
