Further to the Tender Offer announcement made this morning, LMS Capital plc ("LMS Capital" or the "Company") confirms that a circular containing details of the Tender Offer and the Notice of General Meeting on 27 May 2014 at 10.00 a.m. (the "Circular") has been approved by the Financial Conduct Authority and is now available on the Company's website at www.lmscapital.com.

In accordance with the Listing Rules of the Financial Conduct Authority, a copy of the following documents will be submitted to the National Storage Mechanism and will shortly be available for inspection at http://www.morningstar.co.uk/uk/NSM:

· Circular dated 9 May 2014 (including the Notice of General Meeting); and

· Form of Proxy for the General Meeting on 27 May 2014.
