Derwent London PLC31 May 2007 Derwent London plc Conversion to REIT Status and Publication of Circular As announced on 20 March 2007, the Board of Derwent London plc (the "Company")is proposing to convert the group into a Real Estate Investment Trust ("REIT")with effect from 1 July 2007 in order to benefit from the provisions containedin Part 4 of the Finance Act 2006 and the related regulations (the "REIT regime"). Certain amendments are required to the Company's Articles of Association (the "Articles") in order for the Company to be confident that it will not becomesubject to certain additional tax charges that can arise under the REIT regime. Accordingly, the Company has today issued a circular (the "Circular") explainingthe proposed election to REIT status and convening an Extraordinary GeneralMeeting of shareholders to be held at One Bunhill Row, London EC1Y 8YY at 10.00a.m. on 26 June 2007 at which approval for the proposed amendments to theArticles will be sought. Copies of the Circular have been submitted to the UK Listing Authority and willshortly be available for inspection during normal business hours on any weekday(public holidays excepted) at the UK Listing Authority's Document ViewingFacility, which is situated at The Financial Services Authority, 25 The NorthColonnade, Canary Wharf, London, E14 5HS (+44 (0)20 7066 1000).
