PUBLICATION OF CONNECTED TRANSACTION AND MAJOR TRANSACTION CIRCULAR, NOTICE OF SPECIAL GENERAL MEETING AND RELATED DOCUMENTS

Further to the announcement of CK Infrastructure Holdings Limited (the "Company") dated 26th February, 2026 relating to the disposal of UK Power Networks Holdings Limited (the "Announcement"), the Company is pleased to announce that the following documents (the "Documents") in connection with the special general meeting (the "SGM") of the Company to approve CKI Sub's Disposal (each as defined in the Announcement) as connected and major transactions under Chapters 14 and 14A of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited have been published:

- the Connected Transaction and Major Transaction Circular (the "Circular");

- the Notice of SGM (as defined in the Circular);

- the proxy form for use at the SGM (the "Proxy Form");

- the notification letter to registered holders of shares in the Company in relation to attendance at the SGM and the publication of the Circular, the Notice of SGM and the Proxy Form;

- the notification letter to non-registered holders of shares in the Company held through The Central Clearing and Settlement System (CCASS) in relation to attendance at the SGM and the publication of the Circular, the Notice of SGM and the Proxy Form;

- the redacted Share Purchase Agreement;

- the letter from the Independent Board Committee to the Independent Shareholders (each as defined in the Circular) (the "IBC Letter");

- the letter from the Independent Financial Adviser to the Independent Board Committee and the Independent Shareholders (each as defined in the Circular) (the "IFA Letter"); and

- the written consent of the Independent Financial Adviser in relation to the issue of the Circular with the inclusion of the IFA Letter (the "IFA Written Consent", together with the redacted Share Purchase Agreement, the IBC Letter and the IFA Letter, the "Documents on Display").

Each of the English versions of the Circular and the Notice of SGM has been submitted in unedited full text to the UK Financial Conduct Authority's National Storage Mechanism (NSM) and will shortly be available for viewing at https://data.fca.org.uk/#/nsm/nationalstoragemechanism.

The Documents (including the Documents on Display) can be accessed from the Company's website (https://www.cki.com.hk) and the HKEXnews Website (as defined in the Circular) (https://www.hkexnews.hk) with the Documents on Display being made available during the period of 14 days from the date of the Circular.

The SGM will be held as a hybrid meeting at 1st Floor, Harbour Grand Kowloon, 20 Tak Fung Street, Hung Hom, Kowloon, Hong Kong and online on Monday, 27th April, 2026 at 1:45 p.m. Hong Kong time (6:45 a.m. London time) or any adjournment or postponement thereof.
