The following Amended and Restated Final Terms are available for viewing:

Amended and Restated Final Terms dated 2 February 2011 (the "Amended and Restated Final Terms") relating to the issue of £500,000,000 4.250% Fixed Rate Notes due 2017 by JPMorgan Chase & Co. (the "Issuer") to be issued on 25 January 2011 pursuant to the U.S.$65,000,000,000 (in respect of Notes issued by the Issuer) and U.S.$25,000,000,000 (in respect of Notes issued by JPMorgan Chase Bank, National Association) Euro Medium Term Note Program.

The Amended and Restated Final Terms should be read and construed in conjunction with the Prospectus dated September 10, 2010 as supplemented by the supplementary prospectuses dated October 22, 2010, November 18, 2010 and January 20, 2011 (the 'Prospectus').

The Prospectus should be read and construed in conjunction with the documents incorporated by reference therein.
