Amended and Restated Final Terms dated 14 December 2012 (the "Amended and Restated Final Terms") relating to the issue of €1,000,000,000 1.875% Fixed Rate Notes due 2019 by JPMorgan Chase & Co. (the "Issuer") issued on 21 November 2012 pursuant to the U.S.$65,000,000,000 (in respect of Notes issued by the Issuer) and U.S.$25,000,000,000 (in respect of Notes issued by JPMorgan Chase Bank, National Association) Euro Medium Term Note Program.

The Amended and Restated Final Terms should be read and construed in conjunction with the Prospectus dated September 12, 2012, as supplemented by the supplementary prospectuses dated October 15, 2012 and November 9, 2012, and the documents incorporated by reference therein.
