Proposed Shareholder Resolution: purchase of own shares

International Consolidated Airlines Group, S.A. ("Company") announces that it will on Monday 14 May 2012 publish the call notice for the Shareholders' Meeting to be held on 21 June 2012 (the "Meeting")

At the Meeting, the board of directors of the Company (the "Board") will submit to shareholders a proposal for the Board to be given a general authority to make purchases of the Company's own shares up to a maximum number as represents 10 per cent of the aggregate nominal value of the Company's issued ordinary share capital at the date of such resolution. If passed, the Directors have no present intention of exercising the authority conferred by that resolution.

This notification is made in accordance with Listing Rule 12.4.4.
