Proposed Sale of Singapore Shopping Centre

Millennium & Copthorne Hotels plc today announces that its wholly-owned subsidiary, King's Tanglin Shopping Pte Ltd ("KTSPL"), has signed a Collective Sale Agreement ("CSA") with respect to its strata-titled interest in Tanglin Shopping Centre, a shopping-cum-office complex situated at Tanglin Road in the Orchard Road shopping and tourist district of Singapore. KTSPL owns 85 freehold strata units out of a total of 363 units representing approximately 34 per cent of the share value in Tanglin Shopping Centre. KTSPL's units comprise of 83 retail/office units and 325 carpark lots (representing 2 units) which have been held as a long-term investment since 1981.

Under the terms of the CSA, an independent sales committee comprised of representatives of the unit owners has been authorised, subject to the terms and conditions of the CSA, to obtain requisite approvals from the other owners in order to market the property and, upon identification of a purchaser, negotiate, finalise and enter into a sale and purchase agreement for the collective sale of Tanglin Shopping Centre.

Given that discussions regarding the potential disposal of KTSPL's interest in Tanglin Shopping Centre are at a very preliminary stage and the disposal is highly conditional, the sensitive nature of the discussions precludes disclosure of further commercial information or terms at this time. A further update on progress will be provided as and when appropriate.
