Proposed sale of property
Electronic Data Processing PLC ("Company" or "EDP") announces that it has entered into an agreement to dispose of its freehold head office, Beauchief Hall, Sheffield to Blenheim Engineering Ltd for a consideration of £2.3 million payable in cash on completion, conditional only upon the approval of the Company's shareholders.
The net book value of the property as at 31 March 2010 was £1,830,000.
It is expected that completion of the disposal will take place the later of ten days after shareholder approval has been received or 30 September 2010. The Company and the purchaser have agreed that in order for the Company to seek an alternative location for its head office, the Company will rent back Beauchief Hall for a period of not less than three months at £10,000 per month. The rental costs of a smaller and more efficient head office in the Sheffield area are expected to be offset by the savings on the running costs of Beauchief Hall.
The Company intends to utilise the consideration for the ongoing development of the business.
A circular will be sent to Shareholders in due course to convene an Extraordinary General Meeting to seek this approval.
