Proposed restructuring of the Company

The share price of Princess Private Equity Holding Limited ("Princess") continues to trade at a significant discount to the net asset value ("NAV") of the Company despite seeing a recovery during the past year.

The Board of Directors of Princess and Partners Group as the investment advisor have investigated a number of possibilities to address this particular issue with the goal of enhancing shareholder value. The option that is being considered is a change in the capital structure of the Company and providing shareholders with limited but regular liquidity within an open-ended investment company format.
