Shaftesbury today announces a placing of up to 25,250,000 new ordinary shares, representing approximately 9.99% of the current issued share capital of the Company.
Highlights

Introduction
The Board of Shaftesbury announces today that it is proposing to raise additional equity capital through a placing (the "Placing") of up to 25,250,000 ordinary shares of 25 pence each in the capital of Shaftesbury (the "Placing Shares"). The Placing is being conducted, subject to the satisfaction of certain conditions, through an accelerated bookbuild (the "Bookbuild") which will be launched immediately following this placing announcement (the "Announcement"). J.P. Morgan Cazenove and Liberum have been appointed as joint bookrunners in respect of the Placing.
Background to and reasons for the Placing
In the three years since March 2011, when Shaftesbury raised approximately £100 million (net) through a placing, the Company has extended its portfolio through targeted acquisitions totalling £108.3 million, and invested an additional £53.1 million in improvement schemes across its portfolio.
Acquisitions have been in Shaftesbury's core "Villages" in London's West End and reflect its strict acquisition criteria, focussing on buildings which have, or have the potential for, predominately retail and leisure uses and which offer good prospects for growth in rental and capital values through reconfiguration, refurbishment and active management.
On 27 February 2014, the Company exchanged contracts to purchase a long leasehold interest in the commercial elements of Newport Sandringham on the eastern boundary of the Company's existing extensive holdings in Chinatown. The purchase price was £54.4 million (excluding acquisition costs). Extending to 49,700 sq. ft., the interest includes 32,000 sq. ft. of retail space and 13,700 sq. ft. of restaurant and bar space. The current net rental income of £1.4 million reflects the short term occupational leases and licenses which are currently in place, and the high level of non-recoverable property costs which arise as a result of these arrangements. The Directors believe there is considerable potential, subject to obtaining planning and other consents, to materially improve the property's current net rental income and capital value, through reconfiguring and refurbishing internal space, re-letting on conventional lease terms, improving the external appearance of the building and supporting public realm improvements in the immediate vicinity. The capital expenditure to achieve these improvements over a three year period is not expected to exceed £10 million. Newport Sandringham has a substantial Charing Cross Road frontage, which is expected to benefit from increased footfall and investment arising from the reconstruction of Tottenham Court Road station, to the north, which is expected to become the West End's busiest Crossrail interchange and transport hub.
Shaftesbury's acquisition strategy is focussed on increasing its ownerships throughout its West End Villages. In these locations availability of properties to buy, which meet the Company's strict criteria, is traditionally limited, as owners recognise the good long-term prospects and security of these assets. However, over the last 10 years, the Company's purchases have averaged £45 million per annum and it expects to continue to see a steady flow of further suitable acquisition opportunities. In the first quarter of the current financial year, contracted acquisitions totalled £10.5 million and the Company had circa. £9 million under offer. The Placing will preserve the Company's ability to move with speed and take advantage of future opportunities as they occur.
Shaftesbury has an active asset management programme across its extensive, and growing, property ownerships. Since March 2011, the Company has made significant investment in capital projects averaging £17 million per annum. These projects are an important element of Shaftesbury's strategy to improve its portfolio and grow rental income and capital values. The Company estimates future annual capital expenditure will be in the range £15 - £20 million.
Funds raised in the Placing will be deployed in acquiring properties to add to the Company's portfolio as well as invested in capital projects across its ownerships. The Company is currently in discussions to refinance £100 million of bank debt and, as previously announced, it expects this will involve the termination of just under one third of its interest rate swaps at an estimated cost of circa. 10 pence per share based on the issued share capital as enlarged by the Placing. This refinancing is expected to increase the Company's debt facilities after allowing for the anticipated cost of the swaps termination. In addition, the Company expects to augment these funds with further debt facilities if suitable terms can be secured.
Details of the Placing
The Bookbuild will open with immediate effect following this Announcement. The exact number of Placing Shares and the price at which the Placing Shares are to be placed will be determined by the Company, J.P. Morgan Cazenove and Liberum at the close of the Bookbuild and announced by the Company shortly thereafter. The timing of the closing of the Bookbuild, pricing and allocations are at the discretion of the Company, J.P. Morgan Cazenove and Liberum. The directors intend to invest in aggregate approximately £300,000 in the Placing
Under the terms of the Placing, Shaftesbury intends to place up to 25,250,000 new ordinary shares of 25 pence each in the capital of the Company, representing approximately 9.99% of the current issued ordinary share capital of the Company as at 6 March 2014. Strong support for the Placing has already been indicated by existing shareholders and other institutions.
The Placing Shares will, when issued, be credited as fully paid and will rank pari passu with the existing ordinary shares of 25 pence each in the capital of the Company including the right to receive all future dividends and distributions declared, made or paid.
The Company will apply for admission of the Placing Shares to the premium listing segment of the Official List of the Financial Conduct Authority and to trading on the London Stock Exchange plc's main market for listed securities ("Admission"). It is expected that Admission will take place and that trading in the Placing Shares will commence on 11 March 2014.
The Placing is conditional upon, inter alia, Admission becoming effective. The Placing is also conditional upon the placing agreement between the Company, J.P. Morgan Cazenove and Liberum (the "Placing Agreement") becoming unconditional and not being terminated. Further details of the Placing Agreement can be found in the terms and conditions of the Placing contained in the Appendix to this Announcement (which forms part of the Announcement).

Current trading and financial position
As reported in the Company's Interim Management Statement, published on 7 February 2014, London's West End continues to be a popular destination. Visitor numbers and spending have been resilient and demand for all uses has remained strong. At 31 December 2013, the Company's portfolio continued to be substantially fully let, with an estimated rental value ("ERV") of vacant and ready to let space of £1.5 million, equivalent to 1.4% of total ERV. A further £0.3 million, representing 0.3% of ERV, was under offer. The ERV of other schemes underway was £3.2 million, equivalent to 3.0% of total ERV.
In the three months ended 31 December 2013, the Company acquired five properties at a total cost of £10.5 million and agreed terms to acquire other properties totalling circa. £9 million. Since December, the Company has contracted to acquire Newport Sandringham for £54.4 million (excluding acquisition costs) and continues to identify and appraise new opportunities.
On a pro-forma basis, allowing for the completion of the Newport Sandringham acquisition and a new £30 million credit facility, at 24 February 2014 drawn debt amounted to £689.2 million and committed facilities were £726.0 million.
Following the Placing, drawn debt, on a pro-forma basis, is expected to be approximately £541 million. Shaftesbury's pro-forma loan to value ratio is expected to be circa. 25%.

Persons (including, without limitation, nominees and trustees) who have a contractual or other legal obligation to forward a copy of this Appendix or the Announcement of which it forms part should seek appropriate advice before taking any action.
In this Appendix, unless the context otherwise requires, Placee means a Relevant Person (including individuals, funds or others) on whose behalf a commitment to acquire Placing Shares has been given.
Details of the Placing Agreement and the Placing Shares
JPMC and Liberum have entered into a placing agreement (the "Placing Agreement") dated 6 March 2014 with the Company under which JPMC and Liberum have, on the terms and subject to the conditions set out therein, undertaken to use their reasonable endeavours to procure placees (the "Placees") for up to 25,250,000new ordinary shares in the capital of the Company of nominal value 25 pence each (the "Placing Shares") at a price determined following completion of an accelerated bookbuild process (the "Placing").
In accordance with the terms of the Placing Agreement and a subscription and transfer agreement between the Company, JPMC and a Jersey incorporated subsidiary of the Company ("JerseyCo"), JPMC and Liberum have agreed, subject to agreement with the Company as to the number and price of the Placing Shares to be placed with Placees, to underwrite the settlement risk in the event that any Placees fail to take up their allocation of the Placing Shares. The issue of the Placing Shares is to be effected by way of a cashbox placing.
The Placing Shares have been duly authorised and will, when issued, be credited as fully paid and will be issued subject to the Company's articles of association and will rank pari passu in all respects with the existing issued ordinary shares of 25 pence per share in the capital of the Company ("Ordinary Shares"), including the right to receive all dividends and other distributions declared, made or paid on or in respect of such Ordinary Shares after the date of issue of the Placing Shares. The allotment and issue of the Placing Shares will be made by the Company to Placees in consideration for the transfer to the Company of certain shares in JerseyCo.
Application for listing and admission to trading
Application will be made to the Financial Conduct Authority (the "FCA") for admission of the Placing Shares to the premium listing segment of the Official List of the FCA (the "Official List") and to London Stock Exchange plc for admission to trading of the Placing Shares on its main market for listed securities (together, "Admission"). It is expected that Admission will become effective on or around 11 March 2014 and that dealings in the Placing Shares will commence at that time.
Bookbuild
JPMC and Liberum will today commence the bookbuilding process in respect to the Placing (the "Bookbuild") to determine demand for participation in the Placing by Placees. This Appendix gives details of the terms and conditions of, and the mechanics of participation in, the Placing. No commissions will be paid to Placees or by Placees in respect of any Placing Shares.
JPMC, Liberum and the Company shall be entitled to effect the Placing by such alternative method to the Bookbuild as they may, in their sole discretion, determine.
Participation in, and principal terms of, the Placing
1. JPMC and Liberum are arranging the Placing each as bookrunner and agent of the Company.
2. Participation in the Placing will only be available to persons who may lawfully be, and are, invited to participate by JPMC or Liberum. JPMC and Liberum and their affiliates are entitled to enter bids in the Bookbuild as principal.
3. The Bookbuild will establish a single price payable to JPMC or Liberum (as applicable) by all Placees whose bids are successful (the "Placing Price"). The Placing Price and the aggregate proceeds to be raised through the Placing will be agreed between JPMC, Liberum and the Company following completion of the Bookbuild and any discount to the market price of the Ordinary Shares will be determined in accordance with the Listing Rules. The Placing Price will be announced on a Regulatory Information Service following the completion of the Bookbuild (the "Pricing Announcement").
4. To bid in the Bookbuild, prospective Placees should communicate their bid orally by telephone to their usual sales contact at JPMC or Liberum. Each bid should state the number of Placing Shares which the prospective Placee wishes to acquire at either the Placing Price which is ultimately established by the Company, JPMC and Liberum or at prices up to a price limit specified in its bid. Bids may be scaled down by JPMC and Liberum on the basis referred to in paragraph 8 below.
5. The Bookbuild is expected to close no later than 4.30 p.m. (London time) on 6 March 2014 but may be closed earlier or later at the discretion of JPMC and Liberum. JPMC and Liberum may, in agreement with the Company, accept bids that are received after the Bookbuild has closed. The Company reserves the right to reduce the amount to be raised pursuant to the Placing, in its absolute discretion.
6. Each Placee's allocation will be confirmed to it orally by JPMC or Liberum (as applicable) following the close of the Placing, and a contract note will be dispatched as soon as possible thereafter. JPMC's or Liberum's oral confirmation to such Placee will constitute an irrevocable legally binding commitment upon such person in favour of JPMC or Liberum (as applicable) and the Company, under which it agrees to acquire the number of Placing Shares allocated to it at the Placing Price on the terms and conditions set out in this Appendix and in accordance with the Company's Memorandum and Articles of Association.
7. The Company will make a further Announcement following the close of the Bookbuild detailing the number of Placing Shares to be issued and the price at which Placing Shares have been placed, referred to in paragraph 3 above as the "Pricing Announcement".
8. Subject to paragraphs 4 and 5 above, JPMC and Liberum may choose to accept bids, either in whole or in part, on the basis of allocations determined at their absolute discretion and may scale down any bids for this purpose on such basis as it may determine. JPMC and Liberum may also, notwithstanding paragraphs 4 and 5 above, subject to the prior consent of the Company (i) allocate Placing Shares after the time of any initial allocation to any person submitting a bid after that time and (ii) allocate Placing Shares after the Bookbuild has closed to any person submitting a bid after that time. The Company reserves the right to reduce or seek to increase the amount to be raised pursuant to the Placing.
9. A bid in the Bookbuild will be made on the terms and subject to the conditions in this Announcement (including this Appendix) and will be legally binding on the Placee on behalf of which it is made and except with JPMC's and Liberum's consent will not be capable of variation or revocation after the time at which it is submitted. Each Placee will also have an immediate, separate, irrevocable and binding obligation, owed to JPMC or Liberum (as applicable), to pay it (or as it may direct) in cleared funds an amount equal to the product of the Placing Price and the number of Placing Shares such Placee has agreed to acquire. Each Placee's obligations other than its obligation to make payment under the preceding sentence will be owed to the Company and to JPMC or Liberum (as applicable).
10. Except as required by law or regulation, no press release or other Announcement will be made by JPMC, Liberum or the Company using the name of any Placee (or its agent), in its capacity as Placee (or agent), other than with such Placee's prior written consent.
11. Irrespective of the time at which a Placee's allocation pursuant to the Placing is confirmed, settlement for all Placing Shares to be acquired pursuant to the Placing will be required to be made at the same time, on the basis explained below under "Registration and Settlement".
12. All obligations under the Bookbuild and Placing will be subject to fulfilment or (where applicable) waiver of the conditions referred to below under "Conditions of the Placing" and to the Placing not being terminated on the basis referred to below under "Right to terminate under the Placing Agreement".
13. By participating in the Bookbuild, each Placee will agree that its rights and obligations in respect of the Placing will terminate only in the circumstances described below and will not be capable of rescission or termination by the Placee.
14. To the fullest extent permissible by law, none of JPMC, Liberum or any of their respective affiliates shall have any liability to Placees (or to any other person whether acting on behalf of a Placee or otherwise). In particular, none of JPMC, Liberum or any of their respective affiliates shall have any liability (including to the extent permissible by law, any fiduciary duties) in respect of JPMC's or Liberum's conduct of the Bookbuild or of such alternative method of effecting the Placing as JPMC, Liberum and the Company may agree.
Conditions of the Placing
The Placing is conditional upon the Placing Agreement becoming unconditional and not having been terminated in accordance with its terms. JPMC's and Liberum's obligations under the Placing Agreement are conditional on, inter alia:
(a) Admission taking place not later than 8.00 a.m. (London time) on 11 March 2014 or such later date as the Company, JPMC and Liberum may otherwise agree but not being later than close of business on 14 March 2014;
(b) in the opinion of JPMC and Liberum (acting in good faith), the warranties being true and accurate in all respects and not misleading in any respect on and as of the date of the Placing Agreement and immediately before Admission as if they had been repeated by reference to the facts and circumstances then existing;
(c) the Company having complied with all of its undertakings, covenants and obligations under the Placing Agreement which fall to be performed or satisfied prior to Admission, save where JPMC and Liberum, acting jointly and in good faith, consider that any non compliance is not (singly or in the aggregate) material in the context of the Company's group taken as a whole, the Placing, the underwriting of the Placing Shares, Admission or dealings in the Placing Shares during the period from Admission until 90 days thereafter;
(d) the Company allotting, subject only to Admission, the Placing Shares in accordance with the Placing Agreement.
If (i) any of the conditions contained in the Placing Agreement, including those described above, are not fulfilled or (where applicable) waived by JPMC and Liberum in their absolute discretion by the respective time or date where specified (or such later time or date as the Company, JPMC and Liberum may agree) or (ii) the Placing Agreement is terminated in the circumstances specified below, the Placing will lapse and the Placee's rights and obligations hereunder in relation to the Placing Shares shall cease and terminate at such time and each Placee agrees that no claim can be made by the Placee in respect thereof.
JPMC and Liberum may, at their absolute discretion and upon such terms as they consider appropriate, waive compliance by the Company with the whole or any part of any of the Company's obligations in relation to the conditions in the Placing Agreement (save for certain conditions, including the condition above relating to Admission taking place and the Company's allotment of the Placing Shares, which may not be waived) or extend in writing the time required for the fulfilment of any such conditions in respect of all or any part of the performance thereof. Any such extension or waiver will not affect Placees' commitments as set out in this Announcement.
Neither JPMC, Liberum, the Company nor any of their respective affiliates shall have any liability to any Placee (or to any other person whether acting on behalf of a Placee or otherwise) in respect of any decision it may make as to whether or not to waive or to extend the time and/or the date for the satisfaction of any condition to the Placing nor for any decision they may make as to the satisfaction of any condition or in respect of the Placing generally and by participating in the Placing each Placee agrees that any such decision is within the absolute discretion of JPMC and Liberum.
Right to terminate under the Placing Agreement
Each of JPMC and Liberum is entitled in its absolute discretion, at any time up to and including Admission, to terminate the Placing Agreement in accordance with the terms of the Placing Agreement in certain circumstances, including any of the warranties given to JPMC and Liberum in the Placing Agreement being or having become untrue or inaccurate or misleading, or the failure of the Company to comply with any of its obligations, which is material in JPMC's or Liberum's sole judgement (acting in good faith) or, the occurrence of a force majeure event as specified in the Placing Agreement.
By participating in the Placing, Placees agree that the exercise by JPMC and/or Liberum (as applicable) of any right of termination or other discretion under the Placing Agreement shall be within the absolute discretion of JPMC and Liberum and that it need not make any reference to Placees and that it shall have no liability to Placees whatsoever in connection with any such exercise.
Lock-up
The Company has agreed with JPMC and Liberum that it will not (and the Company will use all reasonable endeavours to procure that no member of its group or its or their respective employees will), without the prior written consent of JPMC and Liberum, at any time prior to the date which is 90 days after, as appropriate, Admission (except for the grant of options under, and the allotment and issue of Ordinary Shares pursuant to options granted under, the Company's existing share option schemes, in each case in accordance with normal practice): (a) allot, issue, offer, lend, mortgage, assign, charge, pledge, sell, contract to sell, allot or issue, sell any option or contract to purchase, purchase any option or contract to sell or issue, grant any option, right or warrant to purchase, lend, or otherwise transfer or dispose of, directly or indirectly, any rights in respect of Ordinary Shares or any securities convertible into or exercisable or exchangeable for, or substantially similar to, Ordinary Shares; or (b) enter into any swap or other agreement that transfers, in whole or in part, any of the economic consequences of ownership of any securities of the Company; or (c) enter into any transaction with the same economic effect as, or agree to, or publicly announce any intention to enter into any transaction described in (a) or (b) above, whether any such transaction described in (a) or (b) above is to be settled by delivery of securities, in cash or otherwise, provided that the foregoing shall not apply to: (i) any Ordinary Shares issued by the Company upon the exercise of an option or warrant or the conversion of a security outstanding on the date of the Placing Agreement; or (ii) any Ordinary Shares issued or options to subscribe for Ordinary Shares granted pursuant to existing employee benefit plans of the Company in accordance with normal practice.
No Prospectus
The Placee Shares are being offered to a limited number of specifically invited persons only and will not be offered in such a way as to require a prospectus in the UK. No offering document or prospectus has been or will be published or submitted to be approved by the FCA in relation to the Placing and Placees' commitments will be made solely on the basis of the information contained in this Announcement (including this Appendix) and the Exchange Information (as defined below). Each Placee, by accepting a participation in the Placing, agrees that the content of this Announcement is exclusively the responsibility of the Company and confirms that it has neither received nor relied on any other information (other than the Exchange Information), representation, warranty, or statement made by or on behalf of the Company, JPMC, Liberum or any other person and none of JPMC, Liberum or the Company or any other person will be liable for any Placee's decision to participate in the Placing based on any other information, representation, warranty or statement which the Placees may have obtained or received. Each Placee acknowledges and agrees that it has relied on its own investigation of the business, financial or other position of the Company in accepting a participation in the Placing. The Company is not making any undertaking or warranty to any Placee regarding the legality of an investment in the Placing Shares by such Placee under any legal, investment or similar laws or regulations. Each Placee should not consider any information in this Announcement to be legal, tax or business advice. Each Placee should consult its own attorney, tax advisor and business advisor for legal, tax and business advice regarding an investment in the Placing Shares. Nothing in this paragraph shall exclude the liability of any person for fraudulent misrepresentation.
Registration and Settlement
Settlement of transactions in the Placing Shares (ISIN: GB0007990962) following Admission will take place on a delivery versus payment basis within the CREST system, subject to certain exceptions. JPMC, Liberum and the Company reserve the right to require settlement for and delivery of the Placing Shares to Placees by such other means that they deem necessary if delivery or settlement is not practicable within the CREST system within the timetable set out in this Announcement or would not be consistent with the regulatory requirements in the Placee's jurisdiction.
Following close of the Bookbuild, each Placee allocated Placing Shares in the Placing will be sent a contract note in accordance with the standing arrangements in place with JPMC or Liberum stating the number of Placing Shares to be allocated to it at the Placing Price, the aggregate amount owed by such Placee to JPMC or Liberum (as applicable) and settlement instructions. Each Placee agrees that it will do all things necessary to ensure that delivery and payment is completed in accordance with either the standing CREST or certificated settlement instructions that it has in place with JPMC or Liberum.
It is expected that settlement will be on 11 March 2014 on a T+3 basis in accordance with the instructions set out in the contract note.
In the event of any difficulties or delays in the admission of the Placing Shares to CREST or the use of CREST in relation to the Placing, the Company, JPMC and Liberum may agree that the Placing Shares should be issued in certificated form. JPMC and Liberum reserve the right to require settlement for the Placing Shares, and to deliver the Placing Shares to Placees, by such other means as they deem necessary if delivery or settlement to Placees is not practicable within the CREST system or would not be consistent with regulatory requirements in a Placee's jurisdiction.
Interest is chargeable daily on payments not received from Placees on the due date in accordance with the arrangements set out above at the rate of two percentage points above LIBOR as determined by JPMC and Liberum.
Each Placee is deemed to agree that, if it does not comply with these obligations, JPMC or Liberum (as applicable) may sell any or all of the Placing Shares allocated to that Placee on such Placee's behalf and retain from the proceeds, for JPMC's or Liberum's account and benefit, an amount equal to the aggregate amount owed by the Placee plus any interest due. The relevant Placee will, however, remain liable for any shortfall below the aggregate amount owed by it and may be required to bear any stamp duty or stamp duty reserve tax (together with any interest or penalties) which may arise upon the sale of such Placing Shares on such Placee's behalf. By communicating a bid for Placing Shares, each Placee confers on JPMC or Liberum (as applicable) all such authorities and powers necessary to carry out any such sale and agrees to ratify and confirm all actions which JPMC or Liberum (as applicable) lawfully takes in pursuance of such sale.
If Placing Shares are to be delivered to a custodian or settlement agent, Placees should ensure that the contract note is copied and delivered immediately to the relevant person within that organisation.
Insofar as Placing Shares are registered in a Placee's name or that of its nominee or in the name of any person for whom a Placee is contracting as agent or that of a nominee for such person, such Placing Shares should, subject as provided below, be so registered free from any liability to UK stamp duty or stamp duty reserve tax. Placees (or any nominee or other agent acting on behalf of a Placee) will not be entitled to receive any fee or commission in connection with the Placing.
Representations, Warranties and Further Terms
By participating in the Placing each Placee (and any person acting on such Placee's behalf):
1 represents and warrants that it has read and understood this Announcement, including this Appendix, in its entirety and that its acquisition of Placing Shares is subject to and based upon all the terms, conditions, representations, warranties, acknowledgements, agreements and undertakings and other information contained herein and undertakes not to redistribute or duplicate this Announcement;
2 acknowledges that no offering document or prospectus has been or will be prepared in connection with the placing of the Placing Shares and represents and warrants that it has not received and will not receive a prospectus or other offering document in connection therewith;
3 agrees to be bound by the terms of the articles of association of the Company;
4 acknowledges that the Ordinary Shares are listed on the Official List and admitted to trading on the main market of the London Stock Exchange, and the Company is therefore required to publish certain business and financial information in accordance with the rules and practices of the FCA (collectively "Exchange Information"), which includes a description of the nature of the Company's business and the Company's most recent balance sheet and profit and loss account and that it is able to obtain or access such information without undue difficulty, and is able to obtain access to such information or comparable information concerning any other publicly traded company, without undue difficulty;

14 acknowledges that the Placing Shares offered and sold in the United States are "restricted securities" within the meaning of Rule 144(a)(3) under the Securities Act and, so long as the Placing Shares are "restricted securities", it will not deposit the Placing Shares into any unrestricted depositary receipt facility maintained by any depositary bank in respect of the Company's Ordinary Shares and understands that the Placing Shares will not settle or trade through the facilities of the Depository Trust Corporation, the NYSE, NASDAQ or any other US exchange or clearing system;
15 represents and warrants that it will not reoffer, sell, pledge or otherwise transfer the Placing Shares except (i) in an offshore transaction in accordance with Regulation S under the Securities Act; (ii) in the United States to QIBs pursuant to Rule 144A under the Securities Act; (iii) pursuant to Rule 144 under the Securities Act (if available) or (iv) pursuant to an effective registration statement under the Securities Act and that, in each such case, such offer, sale, pledge, or transfer will be made in accordance with any applicable securities laws of any state of the United States;
16 represents and warrants that, unless otherwise notified to JPMC or Liberum prior to accepting its allocation in the Placing, in acquiring the Placing Shares it is not using "plan assets" (within the meaning of the US Employee Retirement Income Security Act of 1974, as amended ("ERISA")) or assets of any other employee benefit plan subject to any US federal, state, local or other law or regulation that is substantially similar to the prohibited transaction provisions of Section 406 of ERISA or Section 4975 of the US Internal Revenue Code of 1986, as amended and that it will not sell or otherwise transfer any Placing Shares or any interest therein unless the transferee makes or is deemed to make the representations and warranties set forth in this paragraph, and the purchaser acknowledges and agrees that any purported transfer of Placing Shares or any interest therein that does not comply with this paragraph will not be effective and will not be recognised by the Company;
17 understands that the Company is likely classified as a passive foreign investment company (a "PFIC") for US federal income tax purposes, in which case "excess distributions" with respect to, and gain recognized on disposition of, a US investor's Placing Shares, would be treated as ordinary income and, in certain circumstances, subject to an interest charge to offset the benefits of income tax deferral. The US investor further understands that it might be able to avoid certain of these consequences by making a mark-to-market election with respect to its Placing Shares, in which case it will include each year, as ordinary income, the excess, if any, of the fair market value of the Placing Shares at the end of the taxable year over its adjusted basis, and will be permitted an ordinary loss only in limited cases. It has consulted with its own tax advisers regarding the potential application of the PFIC and mark-to-market provisions to it.
18 acknowledges and agrees that the Placing Shares will, to the extent they are delivered in certificated form, bear a legend to the following effect unless agreed otherwise with the Company:
"THE SHARES REPRESENTED HEREBY HAVE NOT BEEN AND WILL NOT BE REGISTERED UNDER THE UNITED STATES SECURITIES ACT OF 1933, AS AMENDED (THE "SECURITIES ACT"), OR WITH ANY SECURITIES REGULATORY AUTHORITY OF ANY STATE OR OTHER JURISDICTION OF THE UNITED STATES, AND MAY NOT BE OFFERED, SOLD, PLEDGED OR OTHERWISE TRANSFERRED EXCEPT (A) PURSUANT TO A REGISTRATION STATEMENT WHICH HAS BEEN DECLARED EFFECTIVE UNDER THE SECURITIES ACT, (B) IN AN OFFSHORE TRANSACTION IN ACCORDANCE WITH RULE 903 OR RULE 904 OF REGULATION S UNDER THE SECURITIES ACT OR (C) PURSUANT TO ANY OTHER AVAILABLE EXEMPTION FROM THE REGISTRATION REQUIREMENTS OF THE SECURITIES ACT AND IN ACCORDANCE WITH ANY APPLICABLE SECURITIES LAWS OF ANY STATE OR OTHER JURISDICTION OF THE UNITED STATES. EACH HOLDER, BY ITS ACCEPTANCE OF THESE SHARES, REPRESENTS THAT IT UNDERSTANDS AND AGREES TO THE FOREGOING RESTRICTIONS."
19 represents and warrants that the issue to it, or the person specified by it for registration as holder, of Placing Shares will not give rise to a liability under any of sections 67, 70, 93 or 96 of the Finance Act 1986 (depositary receipts and clearance services) and that the Placing Shares are not being acquired in connection with arrangements to issue depositary receipts or to transfer Placing Shares into a clearance system;
20 represents and warrants that it has complied with its obligations under the Criminal Justice Act 1993, section 118 of the Financial Services and Markets Act 2000 ("FSMA"), and in connection with money laundering and terrorist financing under the Proceeds of Crime Act 2002 (as amended), the Terrorism Act 2000, the Terrorism Act 2006, the Money Laundering Regulations 2007 (the "Regulations") and the Money Laundering Sourcebook of the FCA and, if making payment on behalf of a third party, that satisfactory evidence has been obtained and recorded by it to verify the identity of the third party as required by the Regulations;
21 if a financial intermediary, as that term is used in Article 3(2) of the EU Prospectus Directive, represents and warrants that the Placing Shares purchased by it in the Placing will not be acquired on a non-discretionary basis on behalf of, nor will they be acquired with a view to their offer or resale to, persons in a Member State of the European Economic Area other than Qualified Investors (within the meaning of the Prospectus Directive), or in circumstances in which the prior consent of JPMC and Liberum has been given to the offer or resale;
22 represents and warrants that it has not offered or sold and, prior to the expiry of a period of six months from Admission, will not offer or sell any Placing Shares to persons in the United Kingdom, except to persons whose ordinary activities involve them in acquiring, holding, managing or disposing of investments (as principal or agent) for the purposes of their business or otherwise in circumstances which have not resulted and which will not result in a requirement to publish a prospectus in the United Kingdom within the meaning of section 85(1) of the FSMA;
23 represents and warrants that it has not offered or sold and will not offer or sell any Placing Shares to persons in the European Economic Area prior to Admission except to persons whose ordinary activities involve them in acquiring, holding, managing or disposing of investments (as principal or agent) for the purposes of their business or otherwise in circumstances which have not resulted in and which will not result in a requirement to publish a prospectus in any member state of the European Economic Area within the meaning of the Prospectus Directive;
24 represents and warrants that it has only communicated or caused to be communicated and will only communicate or cause to be communicated any invitation or inducement to engage in investment activity (within the meaning of section 21 of the FSMA) relating to the Placing Shares in circumstances in which section 21(1) of the FSMA does not require approval of the communication by an authorised person;
25 represents and warrants that it has complied and will comply with all applicable provisions of the FSMA with respect to anything done by it in relation to the Placing Shares in, from or otherwise involving, the United Kingdom;
26 if in a Member State of the European Economic Area, unless otherwise specifically agreed with JPMC and Liberum in writing, represents and warrants that it is a Qualified Investor within the meaning of the Prospectus Directive;
27 if in the UK, represents and warrants that it is a person (i) who has professional experience in matters relating to investments falling within Article 19(1) of the Financial Services and Markets Act 2000 (Financial Promotion) Order 2005 (the "Order"); (ii) falling within Article 49(2)(A) to (D) ("High Net Worth Companies, Unincorporated Associations, etc") of the Order; or (iii) to whom this Announcement may otherwise be lawfully communicated;
28 represents and warrants that it and any person acting on its behalf is entitled to acquire the Placing Shares under the laws of all relevant jurisdictions and that it has all necessary capacity and has obtained all necessary consents and authorities to enable it to commit to this participation in the Placing and to perform its obligations in relation thereto (including, without limitation, in the case of any person on whose behalf it is acting, all necessary consents and authorities to agree to the terms set out or referred to in this Announcement) and will honour such obligations;
29 undertakes that it (and any person acting on its behalf) will make payment for the Placing Shares allocated to it in accordance with this Announcement on the due time and date set out herein, failing which the relevant Placing Shares may be placed with other acquirers or sold as JPMC and Liberum may in their sole discretion determine and without liability to such Placee;
30 acknowledges that none of (i) JPMC, its affiliates or any person acting on JPMC's behalf or (ii) Liberum, its affiliates or any person acting on Liberum's behalf, is making any recommendations to it, advising it regarding the suitability of any transactions it may enter into in connection with the Placees and that participation in the Placing is on the basis that it is not and will not be a client of either JPMC or Liberum and that neither JPMC nor Liberum has any duties or responsibilities to it for providing the protections afforded to their respective clients or customers or for providing advice in relation to the Placing nor in respect of any representations, warranties, undertakings or indemnities contained in the Placing Agreement nor for the exercise or performance of any of their respective rights and obligations thereunder including any rights to waive or vary any conditions or exercise any termination right;
31 undertakes that the person whom it specifies for registration as holder of the Placing Shares will be (i) itself or (ii) its nominee, as the case may be. None of JPMC, Liberum or the Company will be responsible for any liability to stamp duty or stamp duty reserve tax resulting from a failure to observe this requirement. Each Placee and any person acting on behalf of such Placee agrees to participate in the Placing and it agrees to indemnify the Company, JPMC and Liberum in respect of the same on the basis that the Placing Shares will be allotted to the CREST stock account of JPMC or Liberum (as applicable) who will hold them as nominee on behalf of such Placee until settlement in accordance with its standing settlement instructions;
32 acknowledges that these terms and conditions and any agreements entered into by it pursuant to these terms and conditions, and any non-contractual obligations arising out of or in connection with these terms and conditions or such agreements, shall be governed by and construed in accordance with the laws of England and Wales and it submits (on behalf of itself and on behalf of any person on whose behalf it is acting) to the exclusive jurisdiction of the English courts as regards any claim, dispute or matter arising out of any such contract, except that enforcement proceedings in respect of the obligation to make payment for the Placing Shares (together with any interest chargeable thereon) may be taken by the Company, JPMC or Liberum in any jurisdiction in which the relevant Placee is incorporated or in which any of its securities have a quotation on a recognised stock exchange;
33 agrees that the Company, JPMC, Liberum and each of their respective affiliates and others will rely upon the truth and accuracy of the foregoing representations, warranties, acknowledgements and undertakings which are given to JPMC and Liberum on its own behalf and on behalf of the Company and are irrevocable and it irrevocably authorises JPMC, Liberum and the Company to produce this announcement, pursuant to, in connection with, or as may be required by any applicable law or regulation, administrative or legal proceeding or official inquiry with respect to the matters set forth herein;
34 agrees to indemnify on an after tax basis and hold the Company, JPMC, Liberum and each of their respective affiliates harmless from any and all costs, claims, liabilities and expenses (including legal fees and expenses) arising out of or in connection with any breach of the representations, warranties, acknowledgements, agreements and undertakings in this Appendix and further agrees that the provisions of this Appendix shall survive after completion of the Placing;
35 acknowledges that no action has been or will be taken by any of the Company, JPMC, Liberum or any person acting on behalf of the Company, JPMC or Liberum that would, or is intended to, permit a public offer of the Placing Shares in any country or jurisdiction where any such action for that purpose is required; and
36 acknowledges that its commitment to acquire Placing Shares on the terms set out herein and in the contract note will continue notwithstanding any amendment that may in future be made to the terms of the Placing and that Placees will have no right to be consulted or require that their consent be obtained with respect to the Company's conduct of the Placing.
The representations, warranties, acknowledgments and undertakings contained in this Appendix are given to JPMC and Liberum for themselves and on behalf of the Company and are irrevocable.
The agreement to allot and issue Placing Shares to Placees (or the persons acting on behalf of Placees) free of stamp duty and stamp duty reserve tax in the UK relates only to their allotment and issue to Placees, or such persons as they nominate as their agents, direct from the Company for the Placing Shares in question. Such agreement assumes that the Placing Shares are not being acquired in connection with arrangements to issue depositary receipts or to issue or transfer through CREST of the Placing Shares into a clearance service. If there are any such arrangements, or the settlement related to any other dealing in the Placing Shares, stamp duty or stamp duty reserve tax may be payable, for which none of the Company, JPMC or Liberum will be responsible and the Placee to whom (or on behalf of whom, or in respect of the person for whom it is participating in the Placing as an agent or nominee) the allocation, allotment, issue or delivery of Placing Shares has given rise to such UK stamp duty or stamp duty reserve tax undertakes to pay such UK stamp duty or stamp duty reserve tax forthwith and to indemnify on an after-tax basis and to hold harmless the Company, JPMC and Liberum in the event that any of the Company, JPMC and/or Liberum has incurred any such liability to UK stamp duty or stamp duty reserve tax. If this is the case, each Placee should seek its own advice and notify JPMC and Liberum accordingly.
In addition, Placees should note that they will be liable for any stamp duty and all other stamp, issue, securities, transfer, registration, documentary or other duties or taxes (including any interest, fines or penalties relating thereto) payable outside the UK by them or any other person on the allotment to them of any Placing Shares or the agreement by them to acquire any Placing Shares.
Each Placee, and any person acting on behalf of the Placee, acknowledges that neither JPMC nor Liberum owes any fiduciary or other duties to any Placee in respect of any representations, warranties, undertakings or indemnities in the Placing Agreement.
Each Placee and any person acting on behalf of the Placee acknowledges and agrees that JPMC, Liberum or any of their respective affiliates (acting as an investor for its own account) may, in its absolute discretion, take up Placing Shares and in that capacity may retain, purchase or sell for its own account such Placing Shares and any securities of the Company or related investments and may offer or sell such securities or other investments otherwise than in connection with the Placing. Neither JPMC nor Liberum intends to disclose the extent of any such investment or transactions otherwise than in accordance with any legal or regulatory obligation to do so.
When a Placee or person acting on behalf of the Placee is dealing with JPMC or Liberum, any money held in an account with JPMC or Liberum (as applicable) on behalf of the Placee and/or any person acting on behalf of the Placee will not be treated as client money within the meaning of the rules and regulations of the FCA made under the FSMA. The Placee acknowledges that the money will not be subject to the protections conferred by the client money rules; as a consequence, this money will not be segregated from JPMC's or Liberum's money (as applicable) in accordance with the client money rules and will be used by JPMC or Liberum (as applicable) in the course of its own business and the Placee will rank only as a general creditor of JPMC or Liberum (as applicable).
All times and dates in this Announcement may be subject to amendment. JPMC and Liberum shall notify the Placees and any person acting on behalf of the Placees of any changes.
