RECOMMENDED ACQUISITION

of

Constellation Healthcare Technologies, Inc. (the "Company")

by a subsidiary of CHT Holdco, LLC

to be effected by means of a merger under the laws of the State of Delaware (the "Acquisition")

Amended Timetable for Completion

Further to the announcement dated 26 January 2017, the parties to the proposed merger now expect the Acquisition to be completed on Monday 30 January 2017. Consequently, it is expected that the Company's Common Shares will delist from trading on AIM at 7.00 a.m. on 31 January 2017.

A further announcement confirming that the Acquisition has been successfully completed will be released as appropriate on 30 January 2017.
