Announcement on the Postponement of the Shareholders' Meeting to Deliberate on Matters Related to the Transaction

On January 22, 2026, Ming Yang Smart Energy Group Limited (hereinafter referred to as the "Company") held the 30th meeting of the third Board, at which the "Proposal on the 'Proposal of Ming Yang Smart Energy Group Limited on Issuance of Shares and Cash Payment for Asset Acquisition, Raising of Supporting Funds and Related-Party Transactions' and its Summary" and other related proposals. For details, please refer to the relevant announcements and documents disclosed by the Company on the same day.

Given that the audit and valuation work for the Company's issuance of shares and payment of cash for asset acquisition, raising of supporting funds and related-party transactions (hereinafter referred to as the "Transaction") has not yet been completed, the Company has decided to postpone the Shareholders' Meeting to deliberate on the proposals related to the Transaction. After the relevant audit and valuation work is completed, the Company's Board will convene another meeting to deliberate on matters related to the Transaction and will convene the Shareholders' Meeting in accordance with legal procedures to deliberate on matters related to the Transaction.
