Incisive Media PLC16 October 2006 Not for release, distribution or publication, in whole or in part, in or into or from the United States, Canada, Australia or Japan or any other jurisdiction where it is unlawful to do so Recommended acquisition of Incisive Media plc by Apax Summer (Bidco) Limited Posting of Scheme Document On 21 September 2006, the board of Apax Summer (Bidco) Limited ("Apax Summer(Bidco)") and the independent directors (the "Independent Directors") of theboard of Incisive Media plc ("Incisive Media") announced that they had reachedagreement on the terms of a recommended acquisition of the entire issued and tobe issued share capital of Incisive Media (the "Acquisition") to be effected byway of a scheme of arrangement under Section 425 of the Companies Act 1985 (the"Scheme"). Incisive Media is today posting a scheme document to shareholders (the "SchemeDocument"), inter alia, convening the Court Meeting for 10 a.m. on 9 November2006 and the Incisive Media Extraordinary General Meeting for 10.10 a.m. on 9November 2006 (or, if later, as soon thereafter as the Court Meeting isconcluded or adjourned) at which resolutions will be proposed to approve theScheme. Full details of the shareholder meetings and information on bothIncisive Media and Apax Summer (Bidco) are set out in the Scheme Document. Details of the terms of the Acquisition are also contained in the SchemeDocument. The last day of dealings in, and for registration of transfers of, IncisiveMedia Shares is expected to be 5 December 2006, following which the IncisiveMedia Shares will be suspended from the Official List and from the London StockExchange's market for listed securities. Prior to the Scheme becoming effective,applications will be made to the Financial Services Authority for the listing ofthe Incisive Media Shares to be cancelled and to the London Stock Exchange forthe Incisive Media Shares to cease to be admitted to trading on the London StockExchange's market for listed securities. Accordingly, if the Court sanctions theScheme and confirms the related reduction of capital and the relevant courtorder is registered by the Registrar of Companies on 6 December 2006, therebyconfirming the cancellation of all the existing Scheme Shares, the delistingwill become effective on 8 December 2006. If the Scheme becomes effective, it will be binding on all Scheme Shareholders,irrespective of whether or not they attended or voted at the Court Meeting orthe Incisive Media Extraordinary General Meeting.
