Posting of Placing and Open Offer Circular

Serica Energy plc (TSX & AIM: SQZ), the UK-based oil and gas company with exploration interests in the emerging Atlantic margins offshore Ireland, Morocco and Namibia and exploration and development assets in the UK and Norway, is pleased to confirm that, further to the announcement on 22 October 2013, which gave details of the Placing of New Ordinary Shares raising £10.2 million (approximately US$16.6 million) and the Open Offer raising up to £4.1 million (approximately US$6.7 million), the Circular setting out further details of the Placing and Open Offer including certain risk factors and actions to be taken by Shareholders and accompanied by the Proxy Form and the Application Form, was posted yesterday. The Circular also contains a notice of a general meeting of shareholders to be held at the offices of College Hill, The Registry, Royal Mint Court, London EC3N 4QN at 11.00 a.m. on 11 November 2013.

All defined terms in this announcement shall have the meanings ascribed to them in the announcement of 22 October 2013.

The Open Offer will close at 11.00 a.m. on 8 November 2013.
