(the "Company") announces that it is todayposting a circular to its shareholders (the "Circular") setting out details ofthe proposed disposal of its automotive division ("Avon Automotive"). Thisfollows the Board's announcement on 22 May 2006 of its agreement to sell AvonAutomotive. The Circular contains a notice convening an Extraordinary General Meeting ofshareholders to be held at the offices of ING Bank N.V., London Branch, 60London Wall, London EC2M 5TQ at 10 a.m. on 13 June 2006, at which approval forthe proposed disposal will be sought.
