Posting of Circular and Notices of two Extraordinary General Meetings

Further to the Company's announcements of 21 February 2012 and 30 March 2012, the Company announces that a circular (the "Circular") relating to the proposed disposal of the Gifts Division (the "Gifts Disposal"), and the proposed disposal of the Garden Bird Supplies, Garden Centre Online and Listen2 businesses (the "BG&L Disposal"), has been approved by the UK Listing Authority and has today been posted to Shareholders. The Gifts Disposal and the BG&L Disposal are subject to shareholder approval being granted at an extraordinary general meeting of the Company to be held at 10.00 a.m. on 27 April 2012 at Jersey Bowl, L'Avenue de la Reine Elizabeth II, St Peter JE3 7BP (the "Disposals EGM"). Further details of the Gifts Disposal and the BG&L Disposal, including the notice of the Disposals EGM, are contained within the Circular.

The Board is also seeking Shareholder approval for the proposed transfer of the ordinary shares of the Company out of the "premium listing (commercial company)" category on the Official List into the "standard listing" category (the "Transfer of Listing"). Further details of the Transfer of Listing, and a notice of the extraordinary general meeting of the Company to be held at 10.00 a.m. on 4 May 2012 at Jersey Bowl, L'Avenue de la Reine Elizabeth II, St Peter JE3 7BP to approve the Transfer of Listing, are contained within the Circular.
