PUBLICATION AND POSTING OF CIRCULAR AND NOTICE OF GENERAL MEETING

Further to the announcement of 5 December 2016 by Cambian Group plc ("Cambian" or the "Company"), of the proposed disposal of its adult services business (the "Adult Services Business") to Cygnet Health Care Limited, a wholly owned subsidiary of Universal Health Services, Inc. for cash consideration of £377 million (the "Transaction"), the Company today announces that a circular dated 9 December 2016 (the "Circular") has been approved by the UK Listing Authority and submitted to the National Storage Mechanism. It will shortly be available for inspection at www.morningstar.co.uk/uk/NSM.

The Circular will also shortly be available to view or download on the 'Investor Relations' section of the Company's website, www.cambiangroup.com. Copies of the Circular can also be inspected during normal business hours on any weekday (Saturdays, Sundays and public holidays excepted) at the registered office of Cambian at 4th Floor, Waterfront Building, Chancellors Road Hammersmith Embankment, London, W6 9RU or at the offices of Clifford Chance LLP at 10 Upper Bank Street, London E14 5JJ. 

The Transaction is subject to the approval of Cambian shareholders and, accordingly, the Circular contains a notice convening a general meeting to be held at 11.00 a.m. on 27 December 2016 at Numis Securities Limited, The London Stock Exchange Building, 10 Paternoster Square, London EC4M 7LT.

Printed copies of the Circular, together with a form of proxy in respect of the general meeting, are today being posted by first class mail to shareholders who have elected to receive them. A form of proxy in respect of the general meeting is also today being posted by first class mail to all other shareholders.
