Publication and posting of combined circular and notice of general meeting

Further to the announcement of 18 January 2016 by Home Retail Group plc ("Home Retail Group" or the "Company"), which contained details of the proposed sale of Homebase to Bunnings (UK&I) Holdings Limited, a subsidiary of Wesfarmers Limited and an intended c.£200 million return of capital to shareholders, a circular dated 2 February 2016 (the "Circular") has been approved by the UK Listing Authority and submitted to the National Storage Mechanism. It will shortly be available for inspection at www.morningstar.co.uk/uk/NSM.

The Circular will also shortly be available to view or download in the 'Investor Centre' pages of the Company's website, www.homeretailgroup.com.

The transaction is subject to the approval of Home Retail Group shareholders and, accordingly, the Circular contains a notice convening a general meeting to be held at 11.00 a.m. on Thursday 25 February 2016 at the DoubleTree by Hilton Hotel, Stadium Way West, Milton Keynes, MK1 1ST.

Printed copies of the Circular, together with a form of proxy in respect of the general meeting, are today being posted by first class mail to shareholders who have elected to receive them. A form of proxy in respect of the general meeting is also today being posted by first class mail to all other shareholders.
