Beazley Group PLC22 February 2005 22 February 2005 Beazley Group plc ("the Company" or "Beazley") Posting of Circular and EGM Beazley has posted a circular to shareholders (the "Circular") in connectionwith proposed changes to executive remuneration arrangements of the Company,being to amend the performance conditions for future grants under the BeazleyGroup plc Long Term Incentive Plan (the "LTIP"), to alter the individual limitsas are currently set out in the in the rules of the LTIP and to establish a newretention plan (the "Retention Plan"). An ordinary resolution to approve theproposed changes to the performance conditions and individual limits of the LTIPwill be proposed at an extraordinary general meeting of the Company to be heldon 14 March 2005.
