("Conviviality" or "the Company")

Post-close update and Directorate

Conviviality Retail Plc (AIM: CVR), the UK's largest franchised off-licence chain is pleased to provide the following update for the 52 weeks ended 27 April 2014 which incorporates the important Easter period, and announces a change to its Board of Directors.

Trading Update

Full year earnings are expected to be slightly ahead of consensus expectations.

Conviviality has traded well over the Easter period, with like for like retail sales over a comparative six weeks to 27 April 2014 increasing by 2.2% for Bargain Booze stores and 6.5% for Wine Rack stores.

For the 52 weeks ended 27 April 2014, like for like retail sales for Bargain Booze stores were flat, with average sales per store increasing by 3.2% reflecting an improvement in the quality of the portfolio. Our Franchisees have benefited in the last year both from an increase in their margins and from an additional cash incentive. This was introduced to improve their profitability and encourage further growth within the group.

The acquisition of Wine Rack was completed on the 2 September 2013, with like for like retail sales in the second half increasing by 1.4%, a 2.9% improvement versus the first half.

The business continues to benefit from positive cash flow and had a net cash balance of £9.7m as at 27 April 2014.

The Company will announce full year results for the 52 weeks ended 27 April 2014 on 14 July 2014.

Conviviality also announced yesterday the acquisition of 26 Rhythm & Booze stores in Yorkshire, which will extend the brand's footprint in new geography.

Board Changes

Conviviality is also pleased to announce that Andrew Humphreys is to join the Board of the Company as Chief Financial Officer, effective from 16 June 2014. Andrew joins from Direct Wines, where he held the position of Chief Financial Officer, having previously held senior finance roles in the retail sector at Shop Direct Group and Carphone Warehouse. Due to personal reasons Julie Wirth has decided to step down from the Board and to leave the business. Julie will continue to support the business through the financial year end period and will leave on 27 June 2014 with our thanks for both her time and contribution to Conviviality and of course with our best wishes.

Diana Hunter, Chief Executive of Conviviality commented:

"We are pleased with both the Easter trading performance, which was particularly strong, and the delivery of solid full year like for like performance through a period of considerable change for the business. Like-for-like growth was notably encouraging in the key trading periods through the year.

Wine Rack has been integrated successfully and demonstrates improving levels of performance under Conviviality ownership in the second half of the year.

I would like to take this opportunity to thank our key stakeholders - Franchisees, employees, suppliers and investors for their support through this year of transition and to thank Julie Wirth for both her time and contribution to Conviviality and wish her well in the future. I particularly look forward to continuing to develop and grow the business as we move forward."
