Portfolio purchase agreement with Guanabara Holdings B.V. ("Guanabara") in relation to EcoSecurities Group plc ("EcoSecurities")
EDF Trading has entered into a conditional portfolio purchase agreement with Guanabara whereby EDF Trading has been granted options to purchase EcoSecurities' pre-2012 CER contracted portfolio, a proportion of its pre-2012 CER contracted portfolio under due diligence, and its contracted pre-2012 CER sales in the event that Guanabara completes a successful offer for EcoSecurities. Completion of an option is conditional on, amongst other things, receipt of all necessary regulatory consents. Depending on the degree to which the options are exercised, EDF Trading may acquire a significant proportion of EcoSecurities' contracted portfolio. Provided that EDF Trading exercises an option it intends to enter a services agreement with EcoSecurities whereby EcoSecurities will provide clean development mechanism services for the purposes of the registration and issuance of CERs under the acquired contracts. EDF Trading looks forward to a successful ongoing relationship with EcoSecurities.
EDF Trading has undertaken not to deal in securities of EcoSecurities for the term of the agreement or until Guanabara's offer is declared unconditional and declares that it does not have any interests or short positions in relation to securities in EcoSecurities.
