Pledge of ordinary shares in the Company

On 28th October 2011, the Company was notified that Barrie Clapham, the Chairman of the Company, entered into an agreement on 28th October 2011 whereby security over 180,000 ordinary shares in the Company (the "Pledged Shares") held by him through Credential Oldco Limited ("Credential Oldco"), a private company incorporated in Scotland of which he owns, indirectly, all the issued shares, was granted in favour of Lloyds Banking Group plc ("Lloyds"), as security.

Under the terms of the Security, title to the Pledged Shares can be transferred to Lloyds following the occurrence of an event of default.

In total, Barrie Clapham has an interest in 6,167,242 ordinary shares in the Company, representing approximately 31.2 per cent. of the Company's issued share capital of 19,744,548 ordinary shares. The Pledged Shares represent approximately 0.9 per cent. of the Company's issued share capital.
