Proposed placing of new ordinary shares

 

Japan Residential Investment Company Limited (AIM: JRIC) is an authorised closed-ended investment company incorporated in Guernsey and established to make and hold investments in residential property in Japan. The Company, its subsidiaries and entities in which it has a beneficial interest are referred to collectively as the "Fund". The Company today announces its intention to raise up to £18.9 million through a placing via an accelerated bookbuild of new Ordinary Shares to new and existing shareholders at 63 pence per Placing Share.

 

The Company has decided to pursue this fundraising so it can capitalise on investment opportunities identified by KK Halifax Asset Management, the Fund's investment adviser, in the Japanese residential property market. The net proceeds of the Placing are intended to be used to fund such investment opportunities.

 

The Placing will open with immediate effect and is being managed by Liberum Capital Limited as sole broker and placing agent. The number of Placing Shares will be decided at the close of an accelerated bookbuilding period. The timing of the closing of the Bookbuild will be at the discretion of Liberum and the Company. Commitments for participation in the Placing have already been received from new and existing shareholders for £15 million at the Placing Price.

 

The Placing Shares will be issued credited as fully paid and will rank pari passu with the existing Ordinary Shares, including the right to receive all dividends and distributions declared on or after Admission. The Company will shortly apply for admission of the Placing Shares to trading on AIM, a market of the London Stock Exchange. The Placing is conditional on, inter alia, Admission becoming effective.

 

The appendix to this announcement contains the detailed terms and conditions of the Placing.

APPENDIX - TERMS AND CONDITIONS OF THE PLACING

 

IMPORTANT INFORMATION FOR PLACEES ONLY REGARDING THE PLACING

In this Appendix, unless the context otherwise requires, the "Company" means Japan Residential Investment Company Limited and "Placee" means those persons to whom Placing Shares are to be issued and allotted.

Details of the Placing

The Advisers have entered into a placing agreement (the "Placing Agreement") with the Company and KK Halifax Management Limited (the "Investment Manager") under which Liberum has undertaken, on the terms and subject to the conditions set out in the Placing Agreement (as defined below), to use its reasonable endeavours as agent of the Company to procure Placees for the Placing Shares at the Placing Price following completion of the bookbuilding process in respect of the Placing (the "Bookbuild").

The Placing Shares will, when issued, be subject to the articles of incorporation of the Company and be credited as fully paid and will rank pari passu in all respects with the existing issued ordinary shares of 10 pence per share in the capital of the Company, including the right to receive all dividends and other distributions declared, made or paid in respect of such ordinary shares by reference to a record date on or after the date of issue of the Placing Shares.

Application for Admission

Application will be made to the London Stock Exchange for admission to trading of the Placing Shares on AIM. It is expected that Admission will become effective at 8:00 a.m. on 28 October 2013 and that dealings in the Placing Shares will commence at that time (or such later date as may be agreed between the Company, Liberum and S&W).

Bookbuild

Liberum will today commence the Bookbuild to determine demand for participation in the Placing by Placees. This Appendix gives details of the terms and conditions of, and the mechanics of participation in, the Placing. No commissions will be paid to Placees or by Placees in respect of any Placing Shares.

Liberum and the Company shall be entitled to effect the Placing by such alternative method to the Bookbuild as they may, in their sole discretion, determine.

Participation in, and principal terms of, the Placing

1. Liberum is acting as sole broker and placing agent of the Company. S&W is the Company's nominated adviser.

2. Participation in the Placing will only be available to persons who may lawfully be, and are, invited to participate by Liberum. Liberum and any of its Affiliates and/or agents are entitled to enter bids in the Bookbuild as investors for their own account.

3. By participating in the Bookbuild process and the Placing, Placees will be deemed to have read and understood this Announcement (including this Appendix) in its entirety and to be participating and making an offer for Placing Shares on the terms and conditions, and to be providing the representations, warranties, indemnities, acknowledgments, agreements and undertakings contained in this Appendix.

4. Each Placee irrevocably appoints any director of Liberum as its agent for the purposes of executing and delivering to the Company and/or its registrars any documents on its behalf necessary to enable it to be registered as the holder of any of the Placing Shares agreed to be taken up by it under the Placing.

5. The Placing Price is 63 pence per Placing Share. The number of Placing Shares will be announced (the "Final Press Announcement") by the Company on a Regulatory Information Service following the completion of the Bookbuild.

6. To bid in the Bookbuild, prospective Placees should communicate their bid by telephone to their usual sales contact at Liberum. Each bid should state the number of Placing Shares which the prospective Placee wishes to acquire at the Placing Price. Bids may be scaled down by Liberum on the basis referred to in paragraph 10 below.

7. The Bookbuild is expected to close no later than 5.00 p.m. (London time) on 23 October 2013 but may be closed earlier or later at the discretion of Liberum following consultation with the Company. Liberum may, in agreement with the Company, accept bids that are received after the Bookbuild has closed. The Company reserves the right (upon agreement of Liberum) to reduce or seek to increase the amount to be raised pursuant to the Placing, in its absolute discretion.

8. Each prospective Placee's allocation will be determined at the discretion of the Company following consultation with Liberum and will be confirmed orally by Liberum, as agent of the Company as soon as practicable following the close of the Bookbuild. Liberum's oral confirmation of an allocation shall constitute an irrevocable legally binding commitment upon that person (who will at that point become a Placee) to subscribe for the number of Placing Shares allocated to it at the Placing Price on the terms and subject to the conditions set out in this Appendix and the Company's memorandum and articles of incorporation. The right is reserved to reject in whole or in part and/or scale back any participation in the Placing.

9. Each Placee's allocation and commitment will be evidenced by a trade confirmation issued to such Placee by Liberum. The terms of this Appendix will be deemed incorporated by reference therein.

10. Subject to paragraphs 6 and 7 above, the Company may choose to accept bids, either in whole or in part, on the basis of allocations determined at their discretion and may scale down any bids for this purpose on such basis as they may determine. The Company may also, notwithstanding paragraphs 6 and 7 above, subject to the prior consent of Liberum: (i) allocate Placing Shares after the time of any initial allocation to any person submitting a bid after that time; and (ii) allocate Placing Shares after the Bookbuild has closed to any person submitting a bid after that time.

11. A bid in the Bookbuild will be made on the terms and subject to the conditions in this Appendix and will be legally binding on the Placee on behalf of which it is made and except with Liberum's consent will not be capable of variation or revocation after the time at which it submitted. Each Placee will have an immediate, separate, irrevocable and binding obligation, owed to Liberum, to pay to it (or as it may direct) in cleared funds an amount equal to the product of the Placing Price and the number of Placing Shares such Placee has agreed to acquire and the Company has agreed to allot and issue to that Placee.

12. Irrespective of the time at which a Placee's allocation(s) pursuant to the Placing is/are confirmed, settlement for all Placing Shares to be acquired pursuant to the Placing will be required to be made at the same time, on the basis explained below under "Registration and Settlement".

13. All obligations under the Bookbuild and Placing will be subject to fulfilment of the conditions referred to below under "Conditions of the Placing" and to the Placing not being terminated on the basis referred to under "Termination of the Placing".

14. By participating in the Bookbuild, each Placee will agree that its rights and obligations in respect of the Placing will terminate only in the circumstances described below and will not be capable of rescission or termination by the Placee.

15. To the fullest extent permissible by law, neither Liberum nor any of its Affiliates shall have any liability to Placees (or to any other person whether acting on behalf of a Placee or otherwise). In particular, neither Liberum nor any of its Affiliates shall have any liability (including, to the extent permissible by law, any fiduciary duties) in respect of Liberum's conduct of the Bookbuild or of such alternative method of effecting the Placing as Liberum and the Company may agree.

Conditions of the Placing

The Placing is conditional upon the Placing Agreement becoming unconditional and not having been terminated in accordance with its terms.

The obligations of the Advisers under the Placing Agreement are, and the Placing is, conditional on, inter alia:

1. the warranties on the part of the Company or the Investment Manager contained in the Placing Agreement being true and accurate and not misleading at any time prior to Admission, by reference to the facts and circumstances from time to time subsisting;

2. Admission occurring no later than 8.00 a.m. (London time) on 28 October 2013 (or such later date as may be agreed in writing between the Company and the Advisers),

(all conditions to the obligations of Liberum included in the Placing Agreement being together the "conditions").

If any of the conditions are not satisfied or waived in accordance with the Placing Agreement within the stated time periods (or such later time and/or date as the Company and the Advisers may agree), or has become incapable of being satisfied or the Placing Agreement is terminated in accordance with its terms, the Placing will lapse and the Placee's rights and obligations under these terms and conditions shall cease and terminate at such time and each Placee agrees that no claim can be made by or on behalf of the Placee (or any person on whose behalf the Placee is acting) in respect thereof.

The Advisors may, at their discretion and upon such terms as they think fit, waive compliance by the Company, or extend the time and/or date for fulfilment by the Company, with the whole or any part of any of the Company's obligations in relation to the conditions in the Placing Agreement. Any such extension or waiver will not affect Placees' commitments as set out in this Appendix.

Neither of the Advisers nor any of their Affiliates nor the Company or any other person shall have any liability to any Placee (or to any other person whether acting on behalf of a Placee or otherwise) in respect of any decision any of them may make as to whether or not to waive or to extend the time and/or date for the satisfaction of any condition to the Placing nor for any decision they may make as to the satisfaction of any condition or in respect of the Placing generally, and by participating in the Placing, each Placee agrees that any such decision is within the absolute discretion of the Advisers.

Termination of the Placing

The Advisers may, at their discretion, by notice in writing to the Company, terminate the Placing Agreement at any time prior to Admission if, inter alia:

1. There has been a breach of any of the warranties or of any other term of the Placing Agreement by the Company and/or the Investment Manager which the Advisers consider in their good faith opinion (following such consultation with the Company and/or the Investment Manager as is reasonably practicable in the circumstances) to be material in the context of the Placing and/or the Admission; or

2. Any matter has arisen which gives rise to a claim under the indemnity provisions in the Placing Agreement.

If the Placing Agreement is terminated in accordance with its terms, the parties to the Placing Agreement shall be released and discharged (except for any liability arising in relation to such termination) from their respective obligations under or pursuant to the Placing Agreement subject to certain exceptions and no claim can be made by any Placee in respect thereof.

By participating in the Placing, each Placee agrees with the Company and the Advisers that the exercise by the Company or the Advisers of any right of termination or any other right or other discretion under the Placing Agreement shall be within the absolute discretion of the Company or the Advisers (as the case may be) and that neither the Company nor the Advisers need make any reference to such Placee and that neither the Company, the Advisers nor any of their respective Affiliates shall have any liability to such Placee (or to any other person whether acting on behalf of a Placee or otherwise) whatsoever in connection with any such exercise or failure so to exercise.

By participating in the Placing, each Placee agrees that its rights and obligations terminate only in the circumstances described above and will not be capable of rescission or termination by it after oral confirmation by Liberum following the close of the Bookbuild.

No prospectus or admission document

No prospectus or admission document or other offering document has been or will be submitted to be approved by the FCA or the London Stock Exchange in relation to the Placing and the Placees' commitments will be made solely on the basis of the information contained in this Announcement (including this Appendix), the Final Press Announcement and any information publicly announced by the Company to a Regulatory Information Service (the "Publicly Available Information").

Each Placee, by participating in the Placing, agrees that the content of this Announcement (including this Appendix) is exclusively the responsibility of the Company and confirms that it has neither received nor relied on any other information, representation, warranty, or statement made by or on behalf of the Company or the Advisers or any other person other than the Publicly Available Information and none of the Advisers nor the Company nor any other person will be liable for any Placee's decision to participate in the Placing based on any other information, representation, warranty or statement which the Placees may have obtained or received. Each Placee acknowledges and agrees that it has relied on its own investigation of the business, financial or other position of the business, financial position or other position of the Company in accepting a participation in the Placing. Nothing in this paragraph shall exclude the liability of any person for fraudulent misrepresentation.

Registration and settlement

Following close of the Bookbuild for the Placing, each Placee allocated Placing Shares in the Placing will be sent a trade confirmation stating the number of Placing Shares allocated to it at the Placing Price and containing settlement instructions. Each Placee will be deemed to agree that it will do all things necessary to ensure that delivery and payment is completed as directed with Liberum in accordance with either the standing CREST or certificated settlement instructions that it has in place (as appropriate).

Settlement of transactions in the Placing Shares (ISIN:GG00B1FB3X85) following Admission will take place within the CREST system. Liberum and the Company reserve the right to require settlement for, and delivery of, the Placing Shares (or a portion thereof), to Placees, by such other means as they deem necessary if delivery or settlement to Placees is not possible or practicable within the CREST system or would not be consistent with regulatory requirements in any Placee's jurisdiction.

The Company will deliver the Placing Shares to a CREST account operated by Liberum as agents for the Company and Liberum or will enter its delivery (DEL) instructions into the CREST system.

It is expected that settlement will be on 28 October 2013 in accordance with the instructions set out in the trade confirmation (or such other time and/or date as the Company and Liberum may agree).

Interest is chargeable daily on payments not received from Placees on the due date in accordance with the arrangements set out above, in respect of either CREST or certificated deliveries, at the rate of 2 percentage points above prevailing LIBOR as determined by Liberum.

Each Placee is deemed to agree that if it does not comply with these obligations, Liberum may sell any or all of the Placing Shares allocated to that Placee on such Placee's behalf and retain from the proceeds, for its own account and benefit, an amount equal to the aggregate amount owed by the Placee plus any interest due. The relevant Placee will, however, remain liable for any shortfall between the net proceeds of such sale and the placing proceeds of such Placing Shares and may be required to bear any stamp duty or stamp duty reserve tax (together with any interest or penalties due pursuant to the terms set out or referred to in this Announcement) which may arise upon the sale of such Placee's Placing Shares on its behalf.

If Placing Shares are to be delivered to a custodian or settlement agent, Placees must ensure that, upon receipt, the trade confirmation is copied and delivered immediately to the relevant person within that organisation. Insofar as Placing Shares are registered in a Placee's name or that of its nominee or in the name of any person for whom a Placee is contracting as agent or that of a nominee for such person, such Placing Shares should, subject as provided below, be so registered free from any liability to UK stamp duty or stamp duty reserve tax. Placees will not be entitled to receive any fee or commission in connection with the Placing.

Representations and further terms

By submitting a bid in the Bookbuild, each prospective Placee (and any person acting on such Placee's behalf) subscribing for Placing Shares represents, warrants, acknowledges and agrees (for itself and for any such prospective Placee) that:

1. it has read and understood this Announcement (including this Appendix) in its entirety and that its purchase of the Placing Shares is subject to and based upon all the terms, conditions, representations, warranties, indemnities, acknowledgements, agreements and undertakings and other information contained herein and that it has not relied on any information given or any representations or statements made at any time by any person in connection with Admission, the Placing, the Company, the Placing Shares, or otherwise, other than the information contained in this Announcement (including this Appendix) and the Publicly Available Information and that in accepting the offer of its Placing participation it will be relying solely on the information contained in the Announcement (including this Appendix);

2. it has not received a prospectus or admission document or other offering document in connection with the Placing and acknowledges that no prospectus or admission document or other offering document has been prepared in connection with the Placing;

3. the Company's ordinary shares are admitted to trading on AIM, and that the Company is therefore required to publish certain business and financial information in accordance with the AIM Rules, it is able to obtain or access such information without undue difficulty, and is able to obtain access to such information or comparable information concerning any other publicly traded company, without undue difficulty;

4. none of the Advisers or the Company nor any of their Affiliates nor any person acting on behalf of any of them has provided, and will not provide, it with any material regarding the Placing Shares or the Company or any other person other than this Announcement; nor has it requested the Advisers, the Company, any of their Affiliates or any person acting on behalf of any of them to provide it with any such information;

5. none of the Advisers nor any person acting on behalf of them nor any of their Affiliates has or shall have any liability for any publicly available or filed information, or any representation relating to the Company, provided that nothing in this paragraph excludes the liability of any person for fraudulent misrepresentation made by that person;

9. the Placing Shares have not been and will not be registered or otherwise qualified for offer and sale nor will a prospectus or an admission document be cleared or approved in respect of any of the Placing Shares under the securities laws of the United States, Australia, Canada, Japan, Guernsey or the Republic of South Africa and, subject to certain exceptions, may not be offered or sold directly or indirectly, in or into the United States, Australia, Canada, Guernsey, Japan or the Republic of South Africa;

10. it and/or each person on whose behalf it is participating:

a. is entitled to acquire Placing Shares pursuant to the Placing under the laws of all relevant jurisdictions;

b. has fully observed such laws;

c. has capacity and authority and is entitled to enter into and perform its obligations as an acquirer of Placing Shares and will honour such obligations; and

d. has obtained all necessary consents and authorities (including, without limitation, in the case of a person acting on behalf of a Placee, all necessary consents and authorities to agree to the terms set out or referred to in this Appendix) under those laws or otherwise and complied with all necessary formalities to enable it to enter into the transactions contemplated hereby and to perform its obligations in relation thereto;

11. the Placing Shares have not and will not be registered under the Securities Act, or under the securities laws of any state of the United States;

12. it is not acquiring any of the Placing Shares as a result of any form of general solicitation or general advertising (within the meaning of Rule 502(c) of Regulation D under the Securities Act) or directed selling efforts (as defined in Regulation S under the Securities Act);

13. if it is a pension fund or investment company, its acquisition of Placing Shares is in full compliance with applicable laws and regulations;

14. no representation has been made as to the availability of any exemption under the Securities Act for the reoffer, resale, pledge or transfer of the Placing Shares;

15. it will not distribute, forward, transfer or otherwise transmit this Appendix, or any other presentational or other materials concerning the Placing in or into the United States (including electronic copies thereof) to any person, and it has not distributed, forwarded, transferred or otherwise transmitted any such materials to any person;

16. no action has been or will be taken by any of the Company, the Advisers or any person acting on behalf of the Company or the Advisers that would, or is intended to, permit a public offer of the Placing Shares in any country or jurisdiction where any such action for that purpose is required;

17. neither of the Advisers, nor any of their Affiliates, nor any person acting on behalf of them, is making any recommendations to it, advising it regarding the suitability of any transactions it may enter into in connection with the Placing and that participation in the Placing is on the basis that it is not and will not be a client of the Advisers and that the Advisers will have no duties or responsibilities to a Placee for providing protections afforded to their clients under the rules of the FCA or for providing advice in relation to the Placing nor in respect of any representations, warranties, acknowledgments, agreements, undertakings or indemnities contained in the Placing Agreement nor for the exercise or performance of any of its rights and obligations thereunder including any rights to waive or vary any conditions or exercise any termination right;

18. it will make payment for the Placing Shares allocated to it in accordance with the terms and conditions of this Announcement (including this Appendix) on the due times and dates set out in this Announcement, failing which the relevant Placing Shares may be placed with others on such terms as the Advisers may in their discretion determine without liability to the Placee and it will remain liable for any shortfall below the net proceeds of such sale and the placing proceeds of such Placing Shares and may be required to bear any stamp duty or stamp duty reserve tax (together with any interest or penalties due pursuant to the terms set out or referred to in this Announcement) which may arise upon the sale of such Placee's Placing Shares on its behalf;

19. its allocation (if any) of Placing Shares will represent a maximum number of Placing Shares which it will be entitled, and required, to subscribe for, and that the Company may call upon it to subscribe for a lower number of Placing Shares (if any), but in no event in aggregate more than the aforementioned maximum;

20. the person who it specifies for registration as holder of the Placing Shares will be: (i) the Placee; or (ii) a nominee of the Placee, as the case may be. The Advisers and the Company will not be responsible for any liability to stamp duty or stamp duty reserve tax resulting from a failure to observe this requirement. Each Placee and any person acting on behalf of such Placee agrees to acquire Placing Shares pursuant to the Placing and agrees to indemnify the Company and the Advisers in respect of the same on the basis that the Placing Shares will be allotted to a CREST stock account of Liberum or transferred to a CREST stock account of Liberum who will hold them as nominee on behalf of the Placee until settlement in accordance with its standing settlement instructions with it;

21. the allocation, allotment, issue and delivery to it, or the person specified by it for registration as holder, of Placing Shares will not give rise to a stamp duty or stamp duty reserve tax liability under (or at a rate determined under) any of sections 67, 70, 93 and 96 of the Finance Act 1986 (depositary receipts and clearance services) and that it is not participating in the Placing as nominee or agent for any person or persons to whom the allocation, allotment, issue or delivery of Placing Shares would give rise to such a liability;

22. (i) it and any person acting on its behalf falls within Article 19(5) and/or 49(2) of the Financial Services and Markets Act 2000 (Financial Promotion) Order 2005, as amended, and undertakes that it will acquire, hold, manage and (if applicable) dispose of any Placing Shares that are allocated to it for the purposes of its business and (ii) it and any person acting on its behalf is entitled to subscribe for Placing Shares comprised in its allocation under the laws of all relevant jurisdictions which apply to it and that it has fully observed such laws and obtained all governmental and other consents which may be required thereunder and complied with all necessary formalities;

23. if a financial intermediary, as that term is used in Article 3(2) of the Prospectus Directive (including any relevant implementing measure in any member state), represents and warrants that the Placing Shares purchased by it in the Placing will not be acquired on a non-discretionary basis on behalf of, nor will they be acquired with a view to their offer or resale to, persons in a member state of the European Economic Area which has implemented the Prospectus Directive other than to qualified investors, or in circumstances in which the prior consent of Liberum has been given to the proposed offer or resale;

24. it has not offered or sold and will not offer or sell any Placing Shares to persons in the United Kingdom prior to the expiry of a period of six months from Admission except to persons whose ordinary activities involve them in acquiring, holding, managing or disposing of investments (as principal or agent) for the purposes of their business or otherwise in circumstances which have not resulted and which will not result in an offer to the public in the United Kingdom within the meaning of section 85(1) of the FSMA;

25. if it is within the EEA, it is a qualified investor as defined in section 86(7) of FSMA, being a person falling within Article 2.1(e)(i), (ii) or (iii) of the Prospectus Directive;

26. it has only communicated or caused to be communicated and it will only communicate or cause to be communicated any invitation or inducement to engage in investment activity (within the meaning of section 21 of the FSMA) relating to Placing Shares in circumstances in which section 21(1) of the FSMA does not require approval of the communication by an authorised person;

27. it has complied and it will comply with all applicable provisions of the FSMA with respect to anything done by it or on its behalf in relation to the Placing Shares in, from or otherwise involving the United Kingdom;

28. if it has received any confidential price sensitive information about the Company in advance of the Placings, it has not: (i) dealt in the securities of the Company; (ii) encouraged or required another person to deal in the securities of the Company; or (iii) disclosed such information to any person, prior to the information being made generally available;

29. neither of the Advisers, nor any of their Affiliates nor any person acting on behalf of the Advisers or their Affiliates is making any recommendations to it, advising it regarding the suitability of any transactions it may enter into in connection with the Placing nor providing advice in relation to the Placing nor in respect of any representations, warranties, acknowledgements, agreements, undertakings or indemnities contained in the Placing Agreement nor the exercise or performance of any of the Advisers' rights and obligations thereunder including any rights to waive or vary any conditions or exercise any termination right;

30. it has not offered or sold and will not offer or sell any Placing Shares to persons in the European Economic Area prior to Admission except to persons whose ordinary activities involve them acquiring, holding, managing or disposing of investments (as principal or agent) for the purpose of their business or otherwise in circumstances which have not resulted and which will not result in an offer to the public in any member state of the European Economic Area within the meaning of the Prospectus Directive (which means Directive 2003/71/EC and includes any relevant implementing measure in any member state);

31. it has complied with its obligations in connection with money laundering and terrorist financing under the Proceeds of Crime Act 2002, the Terrorism Act 2000, the Terrorism Act 2006 and the Money Laundering Regulations (2007) (the "Regulations") and, if making payment on behalf of a third party, that satisfactory evidence has been obtained and recorded by it to verify the identity of the third party as required by the Regulations;

32. it has knowledge and experience in financial, business and international investment matters as is required to evaluate the merits and risks of subscribing for the Placing Shares. It further acknowledges that it is experienced in investing in securities of this nature and is aware that it may be required to bear, and is able to bear, the economic risk of, and are able to sustain a complete loss in connection with the Placing. It has relied upon its own examination and due diligence of the Company and its associates taken as a whole, and the terms of the Placing, including the merits and risks involved;

33. the Company, the Advisers, their respective Affiliates and others will rely upon the truth and accuracy of the foregoing representations, warranties, acknowledgements, agreements and undertakings;

34. the Placing Shares will be issued subject to the terms and conditions of this Appendix;

35. this Appendix, any agreements entered into by it pursuant to this Appendix, all documents into which this Appendix is incorporated by reference or otherwise validly forms a part will be governed by and construed in accordance with English law and it submits (on behalf of itself and on behalf of any person on whose behalf it is acting) to the exclusive jurisdiction of the English courts as regards any claim, dispute or matter arising out of any such contract, except that proceedings may be taken by the Company or the Advisers in any jurisdiction in which the relevant Placee is incorporated or in which any of its securities have a quotation on a recognised stock exchange; and

36. it (and any person acting on its behalf) agrees to indemnify and hold the Company, the Advisers and their respective Affiliates harmless from any and all costs, claims, liabilities and expenses (including legal fees and expenses): (i) arising out of or in connection with any breach of the representations, warranties, acknowledgements, agreements and undertakings in this Appendix; or (ii) incurred by the Advisers and/or the Company arising from the performance of the Placee's obligations as set out in this Announcement (including this Appendix), and further agrees that the provisions of this Appendix shall survive after completion of the Placing.

The representations, warranties, acknowledgements, agreements and undertakings contained in this Appendix are given to the Advisers for themselves and on behalf of the Company and are irrevocable.

The commitment to subscribe for Placing Shares on the terms set out in this Announcement (including this Appendix) and in the trade confirmation will continue notwithstanding any amendment that may in future be made to the terms of the Placing and Placees will have no right to be consulted or require that their consent be obtained with respect to the Company's conduct of the Placing.

The agreement to allot and issue Placing Shares to Placees (and/or the persons for whom such Placee is contracting as agent) free of stamp duty and stamp duty reserve tax relates only to their allotment and issue to Placees, or such persons as they nominate as their agents, direct from the Company for the Placing Shares in question. Such agreement assumes, and is based on a warranty from each Placee, that neither it, nor the person specified by it for registration as holder of Placing Shares is, or is acting as nominee or agent for, and that the Placing Shares will not be allotted to, a person who is or may be liable to stamp duty or stamp duty reserve tax under any of sections 67, 70, 93 and 96 of the Finance Act 1986 (depositary receipts and clearance services). If there are any such arrangements, or the settlement relates to any other dealing in the Placing Shares, stamp duty or stamp duty reserve tax may be payable. In that event the Placee agrees that it shall be responsible for such stamp duty or stamp duty reserve tax, and neither the Company nor the Advisers shall be responsible for such stamp duty or stamp duty reserve tax. If this is the case, each Placee should seek its own advice and notify the Advisers accordingly.

In addition, Placees should note that they will be liable for any stamp duty and all other stamp, issue, securities, transfer, registration, documentary or other duties or taxes (including any interest, fines or penalties relating thereto) payable outside the UK by them or any other person on the acquisition by them of any Placing Shares or the agreement by them to acquire for any Placing Shares.

Liberum is acting exclusively for the Company and no one else in connection with the Bookbuild and the Placing and Liberum will not be responsible to anyone (including Placees) other than the Company for providing the protections afforded to their respective clients or for providing advice in relation to the Bookbuild or the Placing or any other matters referred to in this Announcement (including this Appendix).

Each Placee and any person acting on behalf of the Placee acknowledges that the Advisers do not owe any fiduciary or other duties to any Placee in respect of any representations, warranties, undertakings, acknowledgements, agreements or indemnities in the Placing Agreement.

When a Placee or any person acting on behalf of the Placee is dealing with Liberum, any money held in an account with Liberum on behalf of that Placee and/or any person acting on behalf of that Placee will not be treated as client money within the meaning of the relevant rules and regulations of the FCA made under FSMA. Each Placee acknowledges that the money will not be subject to the protections conferred by the client money rules; as a consequence this money will not be segregated from Liberum's money in accordance with the client money rules and will be used by Liberum in the course of its own business and a Placee will rank only as a general creditor of Liberum.

Definitions

In this Announcement:

"Admission" means the admission of the Placing Shares to trading on AIM in accordance with the AIM Rules;

"Affiliate" has the meaning given in Rule 501(b) of Regulation D or Rule 405 under the Securities Act;

"AIM" means AIM, a market operated by the London Stock Exchange;

"AIM Rules" means the AIM Rules for Companies published by the London Stock Exchange (as amended or reissued from time-to-time);

"Bookbuild" means the bookbuilding procedure to be carried out by Liberum in connection with the Placing;

"Company" means Japan Residential Investment Company Limited;

"conditions" means all conditions to the obligations of Liberum and S&W included in the Placing Agreement;

"CREST" means the system enabling title to securities to be evidenced and transferred in dematerialised form operated by Euroclear UK & Ireland Limited in accordance with the Uncertificated Securities Regulations 2001 (SI 2001/3755);

"EEA" means the European Economic Area;

"FCA" means the Financial Conduct Authority;

"Final Press Announcement" means the press announcement giving details of the results of the Placing;

"FSMA" means the Financial Services and Markets Act 2000, as amended;

"Investment Manager" means KK Halifax Management Limited;

"Liberum" means Liberum Capital Limited;

"London Stock Exchange" means London Stock Exchange plc;

"Order" means the Financial Services and Markets Act 2000 (Financial Promotion) Order 2005;

"Ordinary Shares" means ordinary shares of 10 pence each in the capital of the Company;

"Placees" means those persons to whom any of the Placing Shares are to be issued and allotted and "Placee" means any one of them;

"Placing" means the placing of the Placing Shares by Liberum with institutional and other investors on behalf of the Company;

"Placing Agreement" means the agreement between the Company, the Investment Manager, Liberum and S&W in connection with the Placing;

"Placing Price" means 63 pence per Placing Share;

"Placing Shares" means the new Ordinary Shares which are to be issued in connection with the Placing;

"Prospectus Directive" means Article 3(2) of the Directive of the European Parliament and of the Council of 4 November 2003 on the prospectus to be published when securities are offered to the public or admitted to trading (No 2003/71/EC) (as amended);

"Publicly Available Information" means any information publicly announced by the Company to a Regulatory Information Service;

"Qualified Institutional Buyer" or "QIBs" has the meaning given by Rule 144A under the United States Securities Act of 1933, as amended.

"Qualified Investors" means 'qualified investors' within the meaning of Article 2(1)(e) of the Prospectus Directive;

"Regulations" means the Proceeds of Crime Act 2002, the Terrorism Act 2000, the Terrorism Act 2006, the Money Laundering Regulations (2003) and, where appropriate, the Criminal Justice (Proceeds of Crime) (Financial Services Businesses) (Bailiwick of Guernsey) Regulations 2007, each as amended from time to time and any other applicable anti-money laundering guidance, regulations or legislation;

"Regulatory Information Service" means any of the regulatory information services included within the list maintained on the London Stock Exchange's website;

"S&W" means Smith & Williamson Corporate Finance Limited;

"Securities Act" means the United States Securities Act of 1933, as amended;

"Shareholders" means holders of Ordinary Shares;

"United Kingdom" or "UK" means the United Kingdom of Great Britain and Northern Ireland; and

"United States" or "US" means the United States of America, its territories and possessions, any State of the United States and the District of Columbia.
