Placing of New Shares

Reference is made to the announcement made by Asian Citrus dated 23 November 2010 in respect to the placing of 175,000,000 new shares of The Company.

The Board wishes to announce that the Placing Shares will be allotted and issued under the Specific Mandate. The SGM will be held for the Shareholders to consider and, if thought fit, pass the resolution to approve the grant of the Specific Mandate.

A circular containing, among other things, (i) details of the Placing; and (ii) a notice of the SGM will be dispatched to the Shareholders as soon as practicable in accordance with the Listing Rules.

Since completion of the Placing is subject to the fulfilment of the conditions precedent as set out in the Placing Agreement, the Placing may or may not proceed. Shareholders and potential investors are reminded to exercise caution when dealing in the Shares.

Reference is made to the announcement of the Company dated 23 November 2010 in respect of the placing of 175,000,000 new shares of the Company. Capitalised terms used herein shall have the same meanings as defined in the Circular unless the context requires otherwise.

The board of Directors wishes to announce that the Placing Shares will be allotted and issued under the Specific Mandate. The SGM will be convened and held for the Shareholders to consider and, if thought fit, pass the resolution to approve the grant of the Specific Mandate. To the best of the Directors' knowledge, information and belief having made all reasonable enquires, the Placees, if they are also Shareholders, are required to abstain from voting at the SGM.

A circular containing, among other things, (i) details of the Placing; and (ii) a notice of the SGM will be dispatched to the Shareholders as soon as practicable in accordance with the Listing Rules.
