Euro Plaza grants to Bank Hapoalim B.M. a security interest over 5,000,000 shares as security for a loan to its indirect parent company (the New Loan). The new security interest replaces existing security over 10,000,000 shares (Existing Security), which was granted by Euro Plaza as security for a guarantee by Euro Plaza of a previous loan (the Previous Loan) (in an amount ca. double the New Loan) granted by a subsidiary of the new lender to Euro Plaza's parent company. The Previous Loan has been repaid in full and the Existing Security has been released.
